COVENANT REGARDING REAL PROPERTY
Whereas, Oak Knoll Partners, are owners ("OWNER" hereinafter) of land described in Exhibit
"A," which is attached hereto and made a part hereof and which is commonly known as Assessor's
Parcel Number 317-151-64 ("PROPERTY" hereinafter). Whereas 4,700 square foot office building
was designed and constructed on PROPERTY with insufficient parking to allow t{~
to be used as offices. In consideration of the approval of building {: ':1 office
building by the City of Poway ("CITY" hereinafter), OWNER hereby agrees that the first floor shall only
be leased ~ ~ouse uses (as permitted by the Central Business
zoning in effect on the property at the time of b I. OWNER hereby further
agrees that said b ~all use those portion of the first floor of the building designated as
"warehouse" on the approved plans only for the purpose of storage accessory to an approved use.
Whereas, the required parking spaces for said build' : approval by CITY (May 4,
1999) was fourteen spaces, said fourteen spaces shall remain as approved and shall be made
available 1' i employee parking.
These restrictions shall remain in effect, unless and until additional parking is provided for
PROPERTY to all J such ' ' the allowable uses are approved by

owners, encumbrancers, heirs, personal rep J assigns of the
respective parties.
If either party is required ~ ' ' this Covenant, the
prevailing party shall be entitled to full reimb : all costs, including reasonable attorneys' fees,
from the other party. CITY may assign to persons impacted by the performance of this Covenant the
