Defined Benefit Plan, ( "Grantor ") and David W. Brooks, ( "Grantee ") in reference to the following. RECITALS WHEREAS, Grantor is the owner of fee title to certain real property located at 13300 Del Poniente Road in Poway, California (Lot #1, APN 314- 840- 01 -00) and more particularly described in Exhibit A attached hereto (the "Servient Tenement "). WHEREAS, Grantee is the owner of fee title to certain real property located at 13310 Del Poniente Road in Poway, California (Lot #2, APN 314 - 840- 02 -00), located adjacent to the Servient Tenement, and more particularly described in Exhibit B attached hereto (the "Dominant Tenement "). WHEREAS, Grantee is required to modify or remove non -fire resistive or undesirable vegetation surrounding Grantee's residence, pursuant to Section 15.05.190 of the Poway Municipal Code pertaining to vegetation fuel modification and maintenance within the Defensible Space Area and the Wildland Urban Interface area, or pursuant S e c t i o n 6 of the City of Poway's Landscape Requirements titled: VEGETATIVE FUEL MANAGEMENT IN VERY HIGH FIRE HAZARD AREAS, an d WHEREAS, Grantee's proposed Vegetation Fuel Management Plan will extend into a defined portion of the Servient Tenement ( "Vegetation Management Zone ") as described in Exhibits Cl and C2 attached hereto; and WHEREAS, Grantor agrees to convey a Vegetation Management Easement over and across Servient Tenement for landscaping purposes more particularly set forth herein in exchange for Grantee's promise to maintain the Vegetation Management Zone. AGREEMENT NOW THEREFORE, in consideration of the mutual promises herein contained and other good and valuable consideration, the receipt and sufficiency of which are hereby acknowledged, the parties hereto agree as follows: 1. Recitals. The above Recitals form an integral part of this Agreement. 2. Grant of Easement. Pursuant to California law, including Civil Code Section 815, et seq., Grantor does hereby grant unto Grantee (and its tenants, subtenants, licensees, invitees, successors and assigns) a perpetual easement and right -of -way for the benefit of and appurtenant to the Dominant Tenement over a portion of the Servient Tenement as depicted and labeled the "Vegetation Management Zone" on the map attached hereto as Exhibits Cl and C2, permitting Grantee (and its tenants, subtenants, licensees, invitees, successors and assigns) the right to plant, replace, remove, maintain or modify landscaping, upon, over, and across any portion of the Vegetation Management Zone. 3. Purpose. Grantor provides to Grantee, and /or its assigns, the right to access the Vegetation Management Zone for the purpose of planting, maintaining, or removing brush and landscaping, installing and maintaining irrigation, and otherwise performing preventative measures required by the City of Poway Safety Services Department to protect Grantee's residence, ancillary structures, and other improvements from potential fires. 4. Maintenance. Grantee shall maintain the Vegetation Management Zone in accordance with criteria set forth by the City of Poway at the sole cost, risk, and responsibility of the Grantee and any of Grantee's successors -in- interest. 5. Limitation on Exclusive Use. The grant of an exclusive easement shall not impair or limit the right of Grantor and its employees and contractors to enter upon any portion of the Vegetation Management Zone from time to time for purposes reasonably related to the maintenance and repair of the Grantor's property. 6. Indemnity. Grantee shall indemnify, defend, protect and hold Grantor, its tenants, employees, agents, invitees, licensees and their respective successors and assigns, harmless from and against any and all claims, proceedings, lawsuits, liabilities, damages, injuries, deaths, losses, fines, penalties, judgments, liens (including mechanic's and materialman's liens), awards, costs and expenses, including, without limitation, reasonable attorneys' and costs, that arise out of or relate in any way to, the use of the Vegetation Management Zone by Grantee, its employees, agents, contractors, lessees, licensees, or invitees. 7. Miscellaneous. a. No Representations or Warranties. Each party disclaims the making of any representations or warranties express or implied, regarding the Vegetation Management Zone, and each party acknowledges that it is not relying upon any statements, representations or warranties made by the other party or anyone acting on the other party's behalf concerning the Vegetation Management Zone. b. Termination of Covenant Liability. Whenever a transfer of ownership of the Servient Tenement or the Dominant Tenement shall take place, any liability of the transferor for breach of covenant occurring after the transfer shall automatically terminate. C. Construction. The parties acknowledge that each party and its counsel have reviewed this Easement Agreement and that the normal rule of construction to the effect that any ambiguities are to be resolved against the drafting party shall not be employed in the interpretation of this Agreement or any amendments or exhibits hereto. d. Successors and Assigns. The obligations of the parties set forth in this Agreement shall be deemed to run with the land and to insure to the benefit of and bind the parties to this Agreement and their respective successors as owners of their respective properties. e. Amendment. This Agreement may be amended only by an instrument in writing executed by the owners of the Dominant Tenement and the Servient Tenement f. Governing Law. This Agreement shall be construed, interpreted, and applied in accordance with, and shall be governed by, the laws applicable in the State of California. g. Attorneys' Fees. In the event that either parry hereto shall bring legal action in order to enforce any of the provisions hereof or the breach thereof, the prevailing party shall be entitled to recover from the other party the reasonable attorneys' fees, expert fees and costs incurred by the prevailing party in enforcing its rights under this Agreement h. Time of Essence. Time is of the essence with respect to this Agreement. i. Notices. Any notice required or permitted to be given under this Agreement shall be in writing and (i) personally delivered, (ii) sent by United States mail, registered or certified mail, postage prepaid, return receipt requested, or (iii) sent by Federal Express or similar nationally recognized overnight courier service, and in all cases addressed as follows, and such notice shall be deemed to have been given upon the date of actual receipt or delivery (or refusal to accept delivery) at the address specified below (or such other addresses as may be specified by notice in the foregoing manner) as indicated on the return receipt or air bill: IftoGrantor: Designright Builders Inc. No Partnership. This Agreement is not intended, nor shall it be construed, as constituting a partnership or joint venture between the parties hereto, or as constituting any party the agent of any other party, or to render any party liable for the debts or obligations of any other party. k. No Other Transfer. It is expressly understood and agreed that this Agreement does not create a fee ownership interest over the Vegetation Management Zone, nor does it work to establish a new boundary between the Grantor's and the Grantee's property under the doctrine of agreed boundaries. I. Severability. The provisions of this Agreement shall be deemed independent and severable, and the invalidity or unenforceability of any portion or portions thereof shall not affect the enforceability or validity of any other provisions or portion thereof. m. Counterparts. This Agreement may be executed in two or more counterparts. All counterparts so executed shall constitute one contract, binding on all parties, even though all parties are not signatory to the same counterpart. n. Breach. No breach of this Agreement shall entitle any owner to cancel, rescind or otherwise terminate this Agreement but such limitation shall not affect in any manner any of the rights or remedies that the owner may have under this Agreement by reason of any breach. o. Recording. This Agreement may be recorded at any time by either party hereto. If as of the date of such recording, the Recorder of the County of San Diego requires that this Agreement be re- acknowledged or re- executed or other documents be executed in order to accept and record this Agreement, each of the parties agrees to so re- execute, re- acknowledge or execute such documents as may be required. p. Termination. This Easement can be terminated only by the City of Poway, when the City of Poway Development Services Department, upon consultation with the City of Poway Safety Services Department, determines that the need for the vegetation management Easement no longer exists. Said determination shall be evidenced by a duly recorded Notice of Termination. q. Mitigation. A Mitigation Fee in the amount of $4131 shall be paid by Grantee. Upon written request from Grantee to the City of Poway, this fee will be returned to the Grantee when Lot #1 is developed (prior to Grading Permit and after the recordation of Biological Conservation Easement on Lot 1 to the satisfaction of the City of Poway Development Services Department).
