SUBORDINATION AGREEMENT NO FEE
FOR VALUE RECEIVED, the undersigned, as Beneficiary under a Deed
of Trust dated December 1Z. 1972 , recorded in the Office of the County
Recorder of San Diego County,
December 21, 1972File No. 339.168
and as owner and holder of the obligations thereby secured does hereby make
subject and subordinate the liens thereof to the Easement granted by
Larry R. and Janice E. Shoemaker
to POWAY MUNICIPAL WATER DISTRICT, it being understood and agreed that
foreclosure of said Deed of Trust shall not affect, defeat or render invalid
any rights under and by virtue of said easement, and said easement shall be
paramount and superior to the rights of any purchaser under a foreclosure
of said Deed of Trust.
Said easement is described in EXHIBIT "A" attached hereto and affects the
real property described in the said Deed of Trust,
Larry R. and Janice E. Shoemaker as Trustor,
California Reconveyance Company as Trustee,
and Great Western Savings and Loan Association as Beneficiary.
Beneficiary declares and acknowledges that it hereby intentionally waives,.

EXHIBIT A
An easement of right of way upon, over, under, and across the lands
hereinafter described, to erect, construct, reconstruct, replace , repair,
maintain and use a pipeline or pipelines for any and all purposes, together
with their necessary fixtures and appurtenances including but not limited
to facilities for power transmission and communication purposes, at such
• locations and elevations , upon, along, over and under the herdinafter
described right of way, together with the right of ingress thereto and
egress therefrom, to and along said right of way by a practical route
or routes in, upon, over and across the hereinafter described lands ,
together with the right to use said right of way for access to adjacent lands.
The lands in which said easement of right of way is hereby granted are
situated in the County of San Diego, State of California, and are particularly
described as follows , to wit:
That portion of the West Half of the Southeast Quarter and of Lot 4
(Southeast Quarter of the Southwest Quarter) of Section 35, Township 13
South, Range 2 West, San Bernardino Meridian, in the County of San Diego,
State of California, according to United States Government Survey approved
April 22, 1876, described as follows:
Beginning at a point in the East line of said West Half of Southeast
Quarter, distant thereon 32.5 feet Northerly of the Southeast corner
thereof; thence North along the East line of said West Half of Southeast
Quarter 412.5 feet; thence Westerly parallel with the Southerly line of
said West Half of Southeast Quarter and of said Lot 4 to the center line
of the main public highway Route No. 3; thence Southerly along said center
line to an intersection with a line drawn Westerly parallel with the Southerly
line of said Lot 4 and of said West Half of the Southeast Quarter, from
the POINT OF BEGINNING; thence Easterly along said parallel line to the
POINT OF BEGINNING.
EXCEPTING the Westerly 10 acres thereof.
Said easement of right of way in the aforesaid lands is particularly des-
cribed as follows:
Beginning at the Southeast corner of Lot 51 of Rancho Pomerado Unit No. 2,
according to the Map therof No. 7598, filed in the Office of the County
Recorder of San Diego County April 11 , 1973, being a point on the Easterly
boundary of said Map No. 7593; thence along the Easterly prolongation of
the Southerly line of said Lot 51, South 88°11' 35" East 11. 63 feet to the
beginning of a tangent curve , concave Northwesterly, having a radius of
20.00 feet; thence Northeasterly along the arc of said curve, through a
central angle of 45°05'57" a distance of 15. 74 feet to the beginning of a
reverse curve , concave Southwesterly, having a radius of 43.00 feet; thence
Easterly and Southerly along the arc of said curve, through a central angle
of 150° 16'04" a distance of 125.39 feet to the Southerly boundary of the
above described property; thence along said Southerly boundary North 88°11' 35'
