SUBORDINATION AGREEMENT

FOR VALUE RECEIVED, the undersigned, as Beneficiary under a Deed
of Trust dated November 8, 1977 , recorded in the Office of the County
Recorder of San Diego County, November 14 , 1977 File No. 77-469772
and as owner and holder of the obligations thereby secured does hereby make
subject and subordinate the liens thereof to the Easement granted by
David G. and P. M. Staub, husband and wife
to POWAY MUNICIPAL WATER DISTRICT, it being understood and agreed that
foreclosure of said Deed of Trust shall not affect, defeat or render invalid
any rights under and by virtue of said easement, and said easement shall be
paramount and superior to the rights of any purchaser under a foreclosure
of said Deed of Trust.
Said easement is described in EXHIBIT "A" attached hereto and affects the
real property described in the said Deed of Trust,
David G. and P. M. Staub, husband and wife as Trustor,
First National Bank of San Diego County as Trustee,
and First National Bank of San Diego County as Beneficiary.
Beneficiary declares and acknowledges th-' it hereby intentionally waives,
relinquishes and subordinates the priorities anc. .,uperi.,rities of the lien
and charge of said Deed of Trust ...non the land described therein in favor
of said easement, and that it understands that in reliance upon and in
consideration of this waiver, relinquishment and subordination specific
monetary and other obligations will be entered into by Third Parties which
would not be made or entered into but for said reliance and the execution rr-

EXHIBIT A
An easement of right of way in, upon, over, under, and across the lands
hereinafter described, to erect, construct, reconstruct, replace, repair,
maintain and use a pipeline or pipelines for any and all purposes, together
with their necessary fixtures and appurtenances including but not limited to
facilities for power transmission and communication purposes, at such loca-
tions and elevations, upon, along, over and under the hereinafter described
right of way, together with the right of ingress thereto and egress therefrom,
to and along said right of way by a practical route or routes in, upon, over
and across the hereinafter described lands, together with the right to use
said right of way for access to adjacent lands.
The lands in which said easement of right of way is hereby granted are situated
in the County of San Diego, State of California, and are particularly described
as follows, to wit:
That portion of the West Half of the Southeast Quarter and of Lot 4 (Southeast
Quarter of the Southwest Quarter) of Section 35, Township 13 South, Range 2
West, San Bernardino Meridian, in the County of San Diego, State of California
according to United States Government Survey approved April 22, 1876, together
with that portion of Lots 2 and 3, in Section 2, Township 14 South, Range 2
West, San Bernardino Meridian, in the County of San Diego, State of California
according to United States Government Survey approved September 11, 1879, de-
scribed as a whole as follows:
BEGINNING at the Southeasterly corner of the West Half of the Southeast Quarter
of said Section 35; thence Northerly along the Easterly line of said West Half
of Southeast Quarter 82 1/2 feet; thence Westerly parallel with the Southerly
line of said West Half of Southeast Quarter and of said Lot 4, to a point in
the center line of the main plhl.ic highway Route No. 3 (Pomerado Road) ; thence
Southerly along said center line to an intersection with the Westerly prolon• '-
tion of the Southerly line of the 'iortherly 330 feet of Lot 2 in said Secti
2; thence Easterly along said Westerly prolongation and said Southerly line
to a joint in the Easterly line of said Lot 2; thence Northerly along said
Easterly line 330 feet more or less to the Point of Beginning.
EXCEPTING THEREFROM the Westerly 10 acres.
Said easement of right of way in the aforesaid lands is particularly described
as follows:
All that portion of the property described above which lies within the
boundary of the following described land:
BEGINNING at the Southeast corner of Lot 51 of Rancho Pomerado Unit No. 2,
according to the Map thereof No. 7598, filed in the Office of the County Re-
corder of said San Diego County April 11, 1973, being a point on the Easterly
boundary of said Map No. 7598; thence along the Easterly prolongation of the
Southerly line of said Lot 51, South 88°ll' 35" East 11.58 feet to the beginning
of a tangent curve, concave Northwesterly, having a radius of 20.00 feet; thence
Northeasterly along the arc of said curve, through a central angle of
45°05'57" a distance of 15.74 feet to the beginning of a reverse curve, con-
cave Westerly, having a radius of 48.00 feet; thence Easterly, Southerly and
Westerly along the arc of said curve, through a central angle of 25r)°02'72"
