(hereinafter "GRANTOR") hereby grants to CITY OF POWAY (hereinafter "GRANTEE") its suc-
cessors, or assigns, the following described 10 foot wide revocable license for
equestrian/pedestrian trail purposes. and a 21167M 'x125' traingler section for a staging
area.
The land encompassing this revocable license is situated in the CITY OF POWAY, County of
San Diego, State of California, and is more particularly described as follows:

(See Exhibit "A" attached hereto)
Said revocable license of right-of-way in the aforesaid lands is particularly described as
follows: A 10 foot trail located within 50 feet of the northern property boundary and a
staging area located on the northwest corner of the property, 200 feet on the west side
(See Exhibit "B" attached hereto including exhibit plat)
and 200 feet on the east side starting at the northeast corner, with the base of the triangle
being 125 feet.
Additional terms and conditions of this license are set forth in Exhibit "C" attached
hereto.

Exhibit "C"
ADDITIONAL TERMS AND CONDITIONS
The license herein granted shall be subject to the following
additional terms and conditions:
1. The City of Poway shall be solely responsible for the
construction and maintenance of the equestrian/pedestrian trail.
2. The City of Poway shall indemnify andhold harmless the
Grantor from any and all liability arising from the use of said
property during the term of this license.
3. The City of Poway understands that a boundary dispute
presently exists between Grantor and the owners of the real
property commonly known as 16380 Ellie Lane. Depending upon the
manner in which said dispute is resolved, or for any other
reason, Grantor may, in his discretion, require the adjustment of
the location of the pedestrian/equestrian trail. The City of Poway
agrees to promptly relocate said trail or any portion thereof
upon request by Grantor and at no expense to Grantor.
4. The City of Poway acknowledges that it has paid nothing to
Grantor for the revocable license described herein, and that said
revocable license is granted to the City of Poway as a gift by
Grantor. The City of Poway further acknowledges that Grantor has
made no promise to refrain, for any period of time, from revoking
said license, so that Grantor is free to revoke said license at
any time.
5. The City of Poway further agrees that upon the revocation or
other termination of the license granted herein, it will, upon
request of Grantor, remove any and all fences, improvements, or
structures it has placed upon the real property of Grantor, and
also erect suitable fences to prevent further public access onto
the area formerly occupied by the pedestrian/equestrian trail.
6. This agreement, except as otherwise expressly provided
herein, shall be binding on, and shall inure to the benefit of,
the respective legatees, devisees, heirs, executors,
administrators, assigns and successors in interest of the
parties.
