SUBORDINATION AGREEMENT

FOR VALUE RECEIVED, the undersigned, as Beneficiary
under the Deed of Trust described in paragraph II does hereby
subordinate the lien thereof to the lien or encumbrance described
in paragraph III .
The real property affected hereby is described in
paragraph IV.
This Agreement shall inure to the benefit of the parties
set forth in paragraph III, and shall bind the heirs, successors
and assigns of the undersigned.

A Deed of Trust dated July 23, 1956, executed by John A.
Sparkman and Mary T. Sparkman, husband and wife, to Land Title
Insurance Company, trustee, to secure an indebtedness of $9,333 .33
in favor of John D. Kent and Lucille Kent, husband and wife, as
joint tenants, as to 2/3rds interest and any other amounts payable
under the terms thereof, recorded October 31, 1956 in Book 6322,
page 346 of Official Records of San Diego County, California.

An easement of right of way for pipe line and appurtenances
thereof over, under, along and across the following described
property:
Lot 2 (Southwest Quarter of the Northwest Quarter) Section
7, Township 14 South, Range 1 West, San Bernardino
Meridian, in the County of San Diego , State of Californja,
according to United States Government Survey.
The center line of said easement of right of way is
described as follows: (See attached - Page 2)

Beginning at the Southwest corner of the Northeast Quarter of the
Northwest Quarter of Section 7, Township 14 South, Range 1 West,
San Bernardino Base and Meridian as shown on Record of Survey No.
3984 on file in the Office of the County Recorder of San Diego
County, California ; thence South 0°40'40" East 428.00 feet; thence
South 89°19'20" West 10.00 feet to the TRUE POINT OF BEGINNING;
thence South 0°40'40" East 177.71 feet to the beginning of a
tangent curve concave Easterly having a radius of 500 feet; thence
Southerly along said curve through a central angle of 10°43 '40" an
arc distance of 93.62 feet; thence South 11°24'20" East, tangent
to said curve 90.08 feet to the beginning of a tangent curve con-
cave Westerly having a radius of 500 feet; thence Southerly along
said curve through a central angle of 10°46' an arc distance of
93.96 feet; thence tangent to said curve South 0°38'20" East
542.31 feet.
The basis •of bearings for the above description is the West line
of the Southeast Quarter of the Northwest Quarter of Section 7,

That certain real property described hereinabove in
paragraph III.
Beneficiary declares and acknowledges that he hereby inten-
tionally waives, relinquishes and subordinates the priority and
superiority of the lien and charge of the deed of trust in paragraph
II upon the land hereinabove described in favor of the lien and
charge upon said lands described in paragraph III ; and that he
understands that in reliance upon and in consideration of this
waiver, relinquishment and subordination, specific acts and other
obligations will be entered into by Third Parties which would not
be made or entered into but for said reliance and the execution by
Beneficiary of this waiver, relinquishment and subordination.
