and as own?r and holder of the obligations thereby secured does hereby make
subject and subordinate the liens thereof to the Easement granted by
Valle Verde West, Ltd.
to POWAY MUNICIPAL WATER DISTRICT, it being understood and agreed that
foreclosure of said Deed of Trust shall not affect, defeat or render invalid
any rights under and by virtue of said easement, and said easement shall be
paramount and superior to the rights of any purchaser under a foreclosure
of said Deed of Trust.
Said easement is described in EXHIBIT "A" attached hereto and affects the
real property described in the said Deed of Trust,
Valle Verde West. Ltd. as ,Trustor,
Title Insurance and TrgsI Company as Trustee,
and Ross Gerry Williams as Beneficiary.
Beneficiary declares and acknowledges that it hereby intentionally waives,
relinquishes and subordinates the priorities and superiorities of the lien
and charge of said Deed of Trust upon the land described therein in favor
of said easement, and that it understands that in reliance upon and in
consideration of this waiver, relinquishment and subordination specific
monetary and other obligations will be entered into by Third Parties which
would not be made or entered into but for said reliance and the execution
by Beneficiary of this waiver, relinquishment and subordination.

An easement of right of way 20.00 feet in width in, upon, over, under
and across the lands hereinafter described, to erect, construct, re-
construct, replace, repair, maintain and use a pipeline or pipelines
for any and all purposes, together with their necessary fixture's and
appurtenances including but not limited to facilities for power trans-
mission and communication purposes, at such locations and elevations,
upon, along, over and under the hereinafter described right of way
together with the right of ingress thereto and egress therefrom, to
and along said right of way by a practical route or routes in, upon,
over and across the hereinafter described lands, together with the
right to use said right of way for access to adjacent lands.
The lands in which said easement of right of way is hereby granted
are situated in the County of San Diego, State of California, and
are particularly described as follows, to wit:
Parcels 1 and 2, as delineated and designated on Parcel Map No. 3422,
filed in the Office of the County Recorder of said San Diego County
January 23, 1975, being a portion of Lot 27 in Tract "F" of Poway, in
the County of San Diego, State of California, according to the Map
thereof No. 536, filed in the Office of the County Recorder of said
San Diego County May 7, 1888.
Said easement of right of way in the aforesaid lands is particularly
described as follows:
All those portions of said Parcels 1 and 2 described in Parcels "A"
and "B" below:
PARCEL "A":
Commencing at a point on the Northerly line of said Parcel 2, distant
thereon North 89°10'26" West, 35.01 feet from the Northeast corner of
said Parcel 2, being a point on the Easterly line of said Lot 27 of
Map No. 536; thence along said Easterly line, South 00°22'12" East,
155.00 feet to the TRUE POINT OF BEGINNING; thence South 89°37 '48" West,
117.91 feet; thence North 79°02'12" West, 116.23 feet; thence North
89°10'26" West, 33.39 feet; thence South 00°49 '34" West 20.00 feet ;
thence South 89°10'26" East 31.32 feet; thence South 79°02'12" East to
an intersection with a line drawn parallel with, and distant 15.00
feet Westerly, measured at right angles, from the Northerly prolongation
of that certain course in the boundary of said Parcel 2 designated as
"North 00°22'12" West 120.00 feet" on said Parcel Map No. 3422; thence
along said parallel line, South 00°22'12" East to the Westerly prolonga-
tion of that certain course in the boundary of said Parcel 2 designated
as "North 89°10'26" West, 185.01 feet" on said Parcel Map No. 3422;
thence along said prolongation, South 89°10'26" East, 15.00 feet to
the Westerly terminus of said course; thence North 00°22 '12" West to
the Southeasterly prolongation of that certain course designated above
