"POWAY REORGANIZATION"
TER1111S AND CONDITIONS
1. The effective date of this "Poway Reorganization" shall be
December 1, 1980 except as otherwise stated in Paragraph 3
of these Terms and Conditions. (Govt. Code §§ 56470(p) and
56456)
2. Upon and after the effective date of this "Poway Reorganiza-
tion":
a. The city manager, city clerk, and city treasurer shall
:,e appointed by the city counci 1; (Govt. Code §§ 35111.5
and 56470(q))
b. Terms of office for the members of the city council
shall be subject to Government Code Sections 35442 and
35443; (Govt. Code §§ 36503 and 56470(s)).
c. Pursuant to Government Code Section 35441, the city
council of the City of Poway shall, immediately following
its organization and -prior to perfo_-:ir, any other
official act, adopt an ordinance provicing that all
County ordinances there*_oiore applicable shall remain
in full force and effect as City ordinances for a
period of 120 days thereafter, or until the Poway
City Council has enacted ordinances superseding the:~,
whichever shall first occur; (Govt. Code § 56470(q))
d. Pursuant to Government Code Section 35448, the Board of
Supervisors shall continue to furnish, without additional
charge, to the area incorporated all services furnished
to the area prior to the incorporation. Such ser-.Tices
shall be furnished for the rewainder or the fiscal gear
during which the incorporation became effective or until
the Poway City Council requests discontinuance of the
services. whichever shall first occur; (Govt. Code
§ 56470(q))
e. The current boundaries of County Service Area No. 5
(High Valley) shall not be changed upon the inclusion
Of territory within County Service Area No. 5 in the
City'of Poway. Pursuant to Government Code Section
54790(h), the Co=Fiissicn waives the application of
Government Code Section 25210.90 and finds that the
application of this section would deprive the resi-
dents of the City of Poway of a service needed to

insure the health and safety and welfare and that
this waiver will not affect the ability of the City
of Poway to provide any service. The Poway City
Council may, however, within 60 days of the, inclusion
of CSA 5 within the City, adopt a resolution nullify-
ing this waiver.
f. County Service Area No. 48 (park services) shall be
automatically dissolved, subject only to compliance
with the requirements of Chapter 8, Division 2,
Title 5 of the Government Code; (Govt. Code § 25210.90)
g. The City of Poway shall be the successor to CSA No. 4.8
for the purpose of succeeding to all of the rights,
duties and obligaticns cf CSA No. 48 with respect to
enforcement and performance of any outstanding con-
tracts and obligations; (Govt. Code § 56470(m)
h. All monies or funds (including cash on hand and monies
due but uncollected) standing to the credit of CSA
No. 48 shall be transferred to and vested in the City
of Poway; (Govt. Code § 25210.90)
3. The effective date of the dissolution of the Poway Municipal
Water District, Pomerado County Water District and Orchard
Water District shall be February 1, 1981, and:
a. The offices of the Boards of Directors of the Poway Municipal
Water District, Pomerado County Water District and Orchard
Water District shall be terminated; (Govt. Code § 56470(k))
b.. The City of Poway shall be the successor to the Poway
11unicipal Water District, Pomerado County Water District and
Orchard Water District for the purpose of succeeding to all
the rights, duties and obli,`T.,ati ons of the e ----ti nuished
districts with respect to enforcement, perfor=nce or
payment of any outstanding voter - approved- Donal. and i ?D1ied
or ex- pressed contracts and obliaations of P eway i��ini ciDal
Water District, Pomerado County Water District and Orchard
Water District; (Govt. Code § 56470(m))
c. Any and all priorities of use or right of use of water, or
capacity rights in any public improvements or facilities of
the Poway Municipal Water District, Pomerado County Water
District and Orchard Water District shall be transferred to
the City of Poway and shall continue to exist as they
existed prior to the effective date of the dissolution of the
districts; (Govt. Code § 56470(j))

d. All property, whether real or personal, including all
monies or funds (including cash on hand and monies due
but uncollected) of the Poway Municipal Water District,
Pomerado County Water District and Orchard'Water District
shall be transferred to and vested in the City of Poway.
All equities, reserves and fund balances (operating, debt
service and construction) generated through past operations
of the Poway Municipal Water District, Pomerado County
Water District and Orchard Water District shall be trans-
ferred to the City of Poway to be maintained or disbursed
for the water utility, sewer, fire or park purposes for
which they were established; (Govt. Code s 56470(h) and (i))
e. The current employees of the Poway Municipal Water District
and Pomerado County Water District-shall be transferred to
and become employees of the City of Poway with no loss of
status and shall enjoy all of the rights and privileges of
other employees; (Govt. Code 9 56470(1))
f. The benefits and rights of Poway Municipal Water District
and Pomerado Countv Water District employees, including
salary, seniority rights and retirement rights, sick_ leave,
vacation and life, disability and health insurance, shad
be continued at an overall level not less than currently
enjoyed, (Govt. Code 6 56470 (1) )
g. Improvement districts of the City of Poway shall be formed
with exterior boundaries coterminous with the exterior
boundaries of the Pomerado County Water District and the
Poway Municipal Water District and with each existing
improvement and assessment district of the Poway Muni-
cipal Water District and the Pomerado Countv Water District.
Formation of the improvement districts shall be sub;ect
to the requirements of Government Code Section 56013.
This paragraph shall be applicable to the City of San Diego;
(Govt. Code 6§ 56470(e) and. 56474)
h. The City Council of the City of Poway shall determine each
year the amount of money needed to make annual pavments of
the principal and interest of the outstanding voter- approvea
bonded indebtedness of the improvement districts and shall
provide that information to the Board of Supervisors. The
Board of Supervisors shall in each year provide for the levy_
and collection of taxes upon property within the improvement
districts sufficient to pay the annual amounts of principal

and interest owing on account of the outstanding bonded
indebtedness of the improvement districts as said principal
and interest shall become due. Such taxes shall be levied
and collected in the same manner provided'by the principal
acts of the dissolved Poway Municipal Water District and
Pomerado County Water District; (Water Code s,§ 71000 and
30000, et seq., respectively) (Govt. Code § 56470(c))
i. An improvement district of the City of Poway shall be
formed with exterior boundaries coterminous with the
boundaries of the Orchard Water District, to be called
the "Orchard Improvement District." The City Council of
the City of Poway shall determine each year the amount of
money needed to make annual payments of the outstanding voter -
a.pproved bonded indebtedness of the dissolved Orchard hater
District and shall provide that information to the Board
of Supervisors. The Board of Supervisors shall in each
year provide for the levy and collection of taxes or
assessments upon property within the Orchard Improvement
District sufficient to pay the annual amounts of principal
and interest owing on account of the outstanding bonded
indebtedness of the dissolved Orchard Water District as
said principal and interest shall become due. Such taxes
or assessments shall be levied and collected in the same
manner provided by the principal act (Mater Code § 34000 et s.eq.
of the dissolved Orchard Water District;(Govt. Code 3 56470(c)).
j. The County Treasurer shall continue to collect installment
of- principal and interest and service the bond issues for
the terms of the bond issues for the existin out-standing
bonds of the assessment districts of the Poway :Municipal
Water District and Pomerado County Water District. Such
assessments shall be levied and collected in the sane
manner provided by the enabling acts (Streets & Hiahways
Code 5000 et seq.) of the assessment districts; (Govt.
Code. § 56470(c))
k. As successor agency to Poway Municipal Water District, the
City of Poway shall be substituted for Poway Municipal.
Water District as a unit member of the San Diego County
Water Authority, and the corporate area of Poway .Municipal
Water District shall remain a part of the San Di.eao Count-
Water Authority as a part of the City of Poway, provided,
however, that Section 10(b) (1) of the County Water Authority
Act 'shall not apply to the City of Poway. Notwithstanding
the provisions of said Section 10(b) (1), inclusion of
territory within the City of Poway that is not presently

within the Poway Municipal Water District and the
San Diego County Water Authority or annexation of territory
to or consolidation of territory with the City of Poway
shall not automatically result in the annexation of
said territory to the San Diego County Water Authority.
No territory shall be annexed to or become a part of the
San Diego County Water Authority without the consent of
the-Board of Directors of the San Diego County Water
Authority, which may grant or deny any application for
annexation and in granting the same may fix the terms
and conditions upon which the territory may be annexed to,
and become a part of, the San Diego County Water Authority;
(Govt. Code 0 56470(m))
4. The proposed appropriations limit as required by Article
XIIIB of the California Constitution for the City of Poway
for FY 1981 -82 shall be $7,047,200. Such appropriations
limit shall be placed before the electorate for confirmation
by a majority vote as part of the ballot proposition for the
proposed reorganization.

On motion of Supervisor Hamilton , seconded by
Supervisor Bates , the following resolution is adopted:
14HEREAS, pursuant to the District Reorganization Act of 1965, commencing
=with Section 56000 of the Government Code, and in particular Sections 56140
end 56195 of the Government Code, the Board of Supervisors of San Diego County
nn March 25, 1980 (8?) a,:io:)ted its resolution of application to the Local
Agency Formation Commission making a proposal for a reorganization in.oiving
the incorporation of a new city to be called the "City of Poway," the dissolu-
tion of the Poway Municipal Water District, the dissolution of the Pomerado
.County Water District, the dissolution of the Orchard California Water District,
the dissolution of County Service Area No. 48 - Park Maintenance, and the
.dissolution of County Service area No. 5 - Street Maintenace; and
WHEREAS, on June 2, 1980, the Local Agency Formation Commission, as Reso-
lution No. R080 -8, adopted its "Resolution of the Local Agency Formation
Commission Approvina a Proposed Reorganization Consistinq of the Incorporation
of a City o* Powav, the Dissolution of the Poway Municipal Water District,
the Dissolution of the Pomerado County dater District, the Dissolution of the
Orchard California t,iater District, and the Dissolution Of C0�!n%y Ser�,,i ce urea
Flo. 48 - Park Mlaintenance (Poway Reorganization)," approving the proposed
reorganization and autnorizinq the Board of Supervisors to initiate and conduct
proceedings for the Droposec reorganization in compliance with Resolution Rio.

WHEREAS, on July 7, 1980, the Local Agency Formation Commission adopted
its First Amendment to Resolution No. RD 80 -8 modifying the terms and conditions
of the proposed "Poway Reorganization "; and
- WHEREAS, on June 17, 1980 (194), this Board adopted its resolution
initiating Proceedings for reo ra_anization and setting a hearing on the matter
for July 23, 1980; and
WHEREAS, at said hearing on July 23, 1980, this Board heard and received
-any oral or written Drotests against the reorganization, any request with
Tespect to maodiricaticn of the boundaries of the reorganization Dr000sai ana
with respect to modification of the terms and conditions, and any objections or
evidence wnicn were mace, presented or filed; and
WHEREAS, this Board closed the hearing on July 23, 1980, and adopted
its "Resolution of Board of Supervisors Ordering Reorganization Subject to
Confirmation of Voters. Calling Election Thereon and Directing Registrar of
Voters to Publish Notice of Election (Poway Reorganization) "; and

WHEREAS, on November 4, 1980, an election was held within the area
covered by the Poway Reorganization Proposal on the following question:
"Shall the order adopted on July 23, 1980,by the Board of Supervisors of San
Diego County ordering the "Poway Reorganization" involving:
1. Incorporation of a new city to be called the City of Poway;
2. The dissolution of the Poway Municipal Water District, the Pomerado
County Mater District, the Orchard California Water District and
CSA 48 -- Park Maintenance;
3. The transfer of the services of such dissolved districts to the
City of Poway; and
4. In accordance with State Constitutional requirements, the c-'�tab-
lishment of a maximum appropriations limit for the City of Poway
of $7,047,200 for fiscal year 1981 -82
be confirmed subject to the terms and conditions specified in said order ?"
AND, WHEREAS, the Registrar of Voters canvassed the returns of said
election and has certified the results of his canvass as follows:

5. Pursuant to Government Code Section 35262 and as specified in the

hereby declares that effective December 1, 1930, the territory described in
Exhibit A, attached hereto is incorporated as a city named the "City of Poway."
C. Pursuant to Government Code Section 35262, Bob Emery, Bruce J.
Tarzy, Clyde Rexrode, Diary L. Shepardson and Linda L. Oravec are declared to
be the members of the Poway City Council because they were the five candidates
-who received the highest number of votes for the office of City Council.
7. Pursuant to Government Code Section 35442, of the five elected
mmbe rs of the City Council, the three receiving the lowest number of votes
shall hold office until the first succeeding general municipal election held
in the city and until their successors are elected and quid i f i ed, and the two
receiving the highest number of votes shall hold office until the second
succeeding general municipal election held in the city and until their succes-
sors are elected and qualified. if tv!o or more members of the City Council
are elected by the same number of votes, the terms of each shall be determined

"POWAY REORGANIZATION"
TERMS AND CONDITIONS
1. The effective date of this "Poway Reorganization" shall be
December 1, 1980 except as oth-ervise stated in Paragraph 3
of these Terms and Conditions. (Govt. Code 09 56470(p) and
56456)
2. Upon and after the effective date of this "Poway Reorganiza-
tion"
a. The city manager, city clerk, and city treasurer shall
be appointed by the city council,-(G ovt. Code 66 35..L
and 56470(q))
b. Terms of office for the members of the city council
shall be subject to Government Code Sections 35442 and
35443; (Govt. Code H 36503 and 56470(s))
C . Pursuant to Government Code Section 35441, the city
council of the City of Poway shall, immediately, following
its organization and prior to perrorming any oter
official act. adopt an ordinance providing that all
County ordinances theretofore applicable shall remain
in full force and effect as City ordinances for a
period of 120 days thereafter, or until the Poway
City Council has enacted ordinances superseding them,
whichever shall first occur; (Govt. Code 9 56470(q))
d. Pursuant to Government Code Section 35448, the Board of
Supervisors shall continue to furnish, without additional
charge, to the area incorporated all services furnished
to the area pricr to the incorporation. Such services
shall be furnished for the remainder of the fiscai year
during which the incorporation Decame effective or until
the Poway Citv Council reauests discontinuance o= the
services, whichever shall first occur; (Govt. Code
§ 56470(q))
e. The current boundaries of County Service Area No. 5
(High Vallev) shall not be changed upon the inclusion
Of territory within County Service Area No. 5 in the
City'of Poway. Pursuant to Government Code Section
54790(h), the Commission waives the application of
Government Code Section 25210.90 and finds that the
application of this section would deprive the resi-
dents of the City of Poway of a service needed to

insure the health and safety and welfare and that
this waiver will not affect the ability of the City
of Poway to provide any service. The Poway City
Council may, however, within 60 days of the inclusion
of CSA 5 within the City, adopt a resolution.nullify-
ing this waiver.
f. County Service Area No. 48 (park services) shall be
automatically dissolved, subject only to compliance
with the requirements of Chapter 8, Division 2,
Title 5 of the Government Code; (Govt. Code § 25210.90)
g. The City of Poway shall be the successor to CSA No. 48
for the purpose of succeeding to all of the rights,
auties and obli gaLions o~ CSA No . u8 with respect to
enforcement and performance of any outstanding con-
tracts and obligations; (Govt. Code § 56470(m)
h. All monies or funds (including cash on hand and monies
due but uncollected) standing to the credit of CSA
No. 48 shall be transferred to and vested in the City
of noway; (Govt. Code § 25210.90)
3. The effective date of the dissolution of the Poway Municipal
Water District, Pomerado County Water District and Orc ^arc

d. All property, whether real or personal, including all

but uncollected) of the Powav Municipal Water District,

shall be transferred to and vested in the City of Poway.
All equities, reserves and -fund 'balances (operating, debt
service and construction) generated through past operations
of the Poway Municipal Water District, Pomerado County
Water District and Orchard Water District shall be trans -
ferred to the City of Poway to be maintained or disbursed
for the water utility, sewer, fire or park purposes for
which they were established; (Govt. Code § 56470(h) and (i))
e. The current employees of the Poway Municipal Water District
and Pomerado Countv Water District shall be transferred to
and become employees of the City of Poway with no loss of
status and shall enjoy all of the rights and privileges of
other employees; (Govt. Code 6 56470(1))
f. The benefits and rights of Powav Municipal Water District
and Pomerado County Water District employees, including
salary, seniority rights and retirement rights, sick leave,
vacation and life, disability and 'health insurance, shall
be continued at an overall level not less than currently
enjoyed; (Govt. Code 6 56470(l))
g. Improvement districts of the City of Poway shall be formed
with exterior boundaries coterminous with the exterior
boundaries of the Pomerado County water District and the
Poway Municipal Water Dlistri_t and with each existing
improvement ana assessment cistrict of the Poway 'Muni-
cipal Water District ana the �P omeraao County Water District.

h. The City Council of the City of Poway shall determine each
year the amount of monev needed to make annual payments of
the principal and interest of the, outstanding voter - approved
bonded indebtedness of the improvement districts and shall-
provide that information to the Board of Supervisors. The
Board of Supervisors snall in each year provide for the levv
and collection of taxes upon property within the improvement
districts sufficient to pay the annual amounts of principal-

and interest owing on account of the outstanding bonded
indebtedness of the improvement districts as said principal
and interest shall become "due. Such taxes shall be levied
and collected in the same manner provided by the principal
acts of the dissolved Poway Municipal Water District and
Pomerado County Water District; (Water Code H 71000 and
30000, et seq., respectively) (Govt. Code § 56470(c))
i. An improvement district of the' City of Poway shall be
formed with exterior boundaries coterminous with the
boundaries of the Orchard Water District, to be called
the 'Orchard Improvement District." The City Council of
the City of Powav shall determine each year the amount of
money needed to mace annual payments of the outstanding voter -
approved bonded indebtedness of the dissolved Orchard `eater
District and shall provide that information to the Board
of Supervisors. The Board of Supervisors shall in each
year provide for the levy and collection of taxes or
assessments upon property within the Orchard Improvement
District sufficient to pay the annual amounts of principal
and interest owing on account of the outstanding bonded
indebtedness of the dissolved Orchard Water District as
said principal and interest shall become due. Such taxes
or assessments shall be ievied and collected in the same
manner provided by the principal act (Water Code § 34000 et sea.
of the dissolved Orchard Water District;(Govt. Code § 56470(c;).
j. The County Treasurer shall continue to collect installment
of principal and interest and service the bond issues for
the terms of the bond issues for the existing outstanding
bonds of the assessment districts of the Poway Municipal
Water District and romerado County Water District. Such
assessments shall be levied and collected in the same
manner provided by the enabling acts (Streets & Highways
Code 5000 et seq.) of the assessment districts; (Govt.
Code § 5647 0 (c) )
k. As successor aa'ency to Poway Municipal Water District," the
City of Poway sal be substituted for Poway I'Auniciaai
Water Dis =ict as a unit member of the San Diego County

territory within the City of Poway that is not presently

San Diego County Water Authority or annexation of territory
to or consolidation of territory with the City of Poway
shall not automatically result in the annexation of
said territory to the San Diego County Water Authority.
No territory shall be annexed to or become a part of the
San Diego County 'Mater Authority without the consent of
the-Board of Directors of the San Diego County Water
Authority, which may grant or deny any application for
annexation and in granting the same may fix the terirts
and conditions upon which the territory may be annexed to,
and become a part of, the San Diego County Water Authority;
(Govt. Code 8 55470 (m) )
4. The proposed appropriations limit as required by Article
XIIIB of the California Constitution for the City of Poway
for FY 1981 -82 shall be $7,047,200. Such appropriations
limit shall be placed before the electorate for confirmation
by a majority vote as part of the ballot proposition for the
proposed reorganization.
