CERTIFICATE OF COMPLETION FOR
CONSTRUCTION AND DEVELOPMENT
WHEREAS, by Owner Participation Agreement (the "OPA") dated June 27, 1989, and
amended on April 30, 1991, by and between Poway Land Inc., a California corporation,
hereinafter referred to as "Participant," and Poway Redevelopment Agency, a public body.
corporate and politic, hereinafter referred to as the "Agency," Participant agreed to construct
certain Improvements on property situated in the City of Poway, California, described on Exhibit
"A" attached hereto and made a part hereof; and
WHEREAS, as referenced in said OPA, the Agency shall furnish the Participant or its
successors with a Certificate of Completion upon completion of construction and development,
which certificate shall be in such form as to permit it to be recorded in the Recorder's Office of
San Diego County; and
WHEREAS, such certificate shall be conclusive determination of satisfactory completion
of the construction and development required by the OPA; and
WHEREAS, the Agency has conclusively determined that the construction and
development on the above described real property required by the OPA has been satisfactorily
completed.
NOW, THEREFORE:
1. As provided in said OPA, the Agency does hereby certify that the construction
and development has been fully and satisfactorily performed and completed as of November 15.
1994.
2. Said condition subsequent has been fully and satisfactorily performed and is of no
further force or effect by reason thereof.

3. Nothing contained in this instrument shall modify in any other way or other
provisions of said OPA or Lease/Option Agreement recorded for the benefit of the Agency. All
executory obligations of the Participant pursuant to the Agreement shall remain in full force and
effect.
