as regulated by the Poway Municipal Code, we do hereby covenant and agree with said City that the
above legally described land shall be held as one parcel and no portion shall be sold separately.
In the event of any voluntary or involuntary sale, lease or transfer of either parcel separately, the
undersigned covenants and agrees with the City that any items, not then in compliance with then
applicable provisions of the Uniform Building Code, shall be remedied and brought into compliance and
any interior alterations necessitated thereby will be made at that time, subject to the approval of the
Director of Planning Services of the City of Poway.
The Director of Planning Services of the City of Poway shall be notified not less than thirty (30) days
prior to the transfer of any interest in or to either parcel described above.

This covenant and agreement shall run with the land and shall be binding upon
ourselves, any future owners, encumbrancers, their successors, heirs, assignees and
shall continue in effect until such time that the Poway Municipal Code unconditionally
permits the use or purpose hereinabove referred to or unless otherwise released by
authority of the Director of Planning Services of the City of Poway.
