SUBORDINATION AGREEMENT
\ FOR VALUABLE CONSIDERATION, receipt of which is hereby
acknowledged, the undersigned, belng the beneficiary of that
certain Deed of Trust dated November 1, 1993, and recorded on
December 7, 1993, Document No. 1993-0823833, Official Records of
San Diego County, California, hereby subordinates the lien and
charge of said Deed of Trust to (i) that certain "Covenant
Running With the Land" executed by the trustors of said Deed of
Trust and City of Poway, a municipal corporation, and (ii) that
certain "Notice of Restriction on Real Property" executed by said
city, both being recorded concurrently herewith.
