CERTIFICATE OF COMPLETION
WHEREAS, the poway Redevelopment Agency, a public body,
corporate and politic, (sometimes hereinafter referred to as
"Agency") and ADI Properties, Inc. ("Participant") entered into
an Owner Participation Agreement ("Agreement") on June 27, 1989,
which was recorded on April 9, 1990 as Document No. 90-189058 of
the Official Records of the County Recorder of the County of San
Diego, California; and
WHEREAS, as referenced in said Agreement, the Agency
shall furnish the Participant with a certificate of Completion
upon completion of construction and development, which
certificate shall be in such form as to permit it to be recorded
in the Official Records of the County Recorder of the County of
San Diego, California; and
WHEREAS, the Certificate of Completion shall constitute
a conclusive determination by the Agency of the satisfactory
completion by the Participant of the construction and development
required by the Agreement and of the Participant's full
compliance with the terms of the Agreement with respect to such
construction and development; and
WHEREAS, the Agency has conclusively determined that
the construction and development on the real property described
in Exhibit "A" required by the Agreement has been satisfactorily
completed by the Participant in full compliance with the terms of
the Agreement.
NOW, THEREFORE,
1. As provided in the Agreement, the Agency does
hereby certify and determine that the construction and
development on the real property described in Exhibit "A" has
been fully and satisfactorily completed in full compliance with
the terms of the Agreement.
