For good and valuable consideratiQn, the receipt of which is hereby acknowledged. the Gity of
Poway, a municipal, corporation ("Grantor"). hereby grants to Maderas Country Club, LLC, a
California limited liability company ("Grantee"), its successqrs, assigns, members, guests, and
invitees a permanent easement over that portion of Lot D, City of Poway Tract No, 89-13R, The
Heritage, ih the City of Poway, County of San Diego, State of California, according to map
thereof No. 13708 filed in the Office ,of the County Recorder of San Diego County on December
11,1998, that is described in Exhibit "A" and shown in Exhibit "B", each attached hereto and
incorporated herein by this reference (the "Easement"), for the purposes of constructing,
installing, maintaining and operating golf course improve!T1ents and for all reasonable purposes
associated with the use of the Easement for golf course and other recreational uses, The
Easement. shall be appurtenant 'to the Parcel 3 of Parcel Map 17989 recorded February 25,
1998 in the official records of the County Recorder of the County of San Diego and the benefits
of the Easement shall inure ,to each and all of Grantee's successors-in-interest who own or
occupy all or any portion of the Benefited Land,
