,1/ STOWE PROPERTIES, LLC, a California limited liability company (hereinafter
"GRANTOR") hereby grants to CITY OF POWAY (hereinafter "GRANTEE"), a
GENERAL UTILITY EASEMENT for public and quasi-public utilities and services,
including but not limited to water, sewer, gas, telecommunications, and cable, and
access for the construction and maintenance thereof, whether such utilities are
operated by the City of Poway or under contract, lease, statute, or franchise with any
third party, public or private, together with the right to assign such easement to others in
whole or in part in, upon, over, under and across the lands described below
The land encompassing this easement is situated in the City of Poway, County of San
Diego, State of California, and is more particularly described as follows, to wit:
PARCELS 1 AND 2 OF PARCEL MAP NO 18410, IN THE CITY OF POWAY,
COUNTY OF SAN DIEGO, STATE OF CALIFORNIA, ACCORDING TO MAP
THEREOF FILED WITH THE RECORDER'S OFFICE OF SAN DIEGO COUNTY
ON JANUARY 20, 2000
S'3id easement of right-of-way in the aforesaid land is particularly described as follows:

In the event of any dispute involving this easement, whether or not litigation is
commenced, or if any arbitration proceeding, administrative proceeding or litigation in
law or in equity, including an action for declaratory relief, is brought to enforce or
interpret the provisions or performance of this easement, the prevailing party shall be
entitled to an award of all attorney's fees and the costs of the proceeding, which shall
be determined by the court or the presiding officer having authority to make this
determination,
GRANTOR expressly warrants and represents that GRANTOR has the power to grant
this easement in accordance with its terms,

That certain parcel of land situated in the City of Poway, County of San Diego,
State of California, being a portion of Parcels 2 and 3 of P.M. No. 18410, filed
in the offi ce of the County Recorder of San Oi ego County, January 20, 2000,
described as follows:
COMMENCING at the Northeast corner of said Parcel 2; thence along the Northerly
line of sa.id Parcel 2, North 88019'17" West, 15.00 feet to the TRUE POINT OF
BEGINNING; thence retracing along said Northerly line, South 88019'17" East, 5.00
feet to the Westerly line of that certain general utility easement granted to the
City of Poway per document recorded April 21, 1992 as File No. 1992-0231612 of
Official Records; thence along said Westerly easement line the following three (3)
courses: South Or38'01" I~est, 82.42 feet; thence South 01040'43" West, 102.58
