Recitals. 1.1. On November 20, 1990, the City COuncil' of the City .adopted Resolution No. P.90c87 A ("Resolution No. P.90.87 A"), approving:a tentative subdivision' m~p for the Property ("TTM 89.09") and issuing a negaJive'dec;laration of environmental.illipact for TI1vf 89-09 (the "Negative Declaration", and, together \vith TIM 89- 09; the "Project -Approvals"). 1.3. 'The P;oject Approyals allowed for the subdivision of the Property into 10 residential lots, one open:space lot, and one,street lor, ~~d ~aJed on the Negative DeClaration-for the project the approval allowed the removal of,2'net acres,of habitat on,e<fch residential lot and the removal 6[3047 acres of habitat for road improvements (the "Project") , 1.4. The areas. on the Property supporting the highest qua~ty'C~a.gllse Chaparral veget:ation arid 'the sites only Coast Live Oak tree were preserved. The preservation of'the Oak-and wetland habitat reduced all'projeCt!~paCts to biologica.~res9ijrces to a level th~t is less than significant. As ,a result, the City was able- to issue the Negative Declaration for the Project; 3 Impact and}'/fitigation. 3,1, Pursuant to the, Project Approvals, developers of the Project may ~pact 2 net acres of habitat for construction of each of: the, 10' residences (20 aces total)' and approximately 3.47 acres of habitat for construction oCthe street and'fire,.breaks. Entire Ag~eement. This Agreeme~t c;:o1!tains all representa~bns and the entire understanding between the parties with respect to the subject matter of this Ag~eement. Any prior c:orrespondence, memoranda; or agreements; whether-ocnot:such correspondence, memoranda, or agreements.are in conflict with this Agreement, are iritended to be replaced in',totarby this Agreement. Each party-to this Agreement ,warrants,and represents that no ,representative of any party to this Agreement'has made any oral representations or oral agreements not contained in this Agr~ement. Each party 'to this Agreement further warrants and represents;that it-has'no~ relied upon any oral statements of promises made by-any representative of any-party to this Agreement in eXl::cuting this,Agreement. 6.4. Binding Effect. T4is Agreement shall inure t9 the be9-efit of and be binding upon the parties and their respective purchasers,~succe~sors. heirs, and assigns. 6.5: Unenforceable:Piovisions. The terms, conditions"and'covenants of this Agreement shall be construed whenever possible,as cotisi~te!it-wit4.~n',applic~ble laws an(rr17gJiatio~s. To ,the exte~t t.hat any provision of this Agr~elT!ent, as so interpreted, is,. held .!o' violate any applicable law or regulation, the remaining provisions shall nevertheless be carried into full force and, effect and remain enforceable. 6.6~ Representati~n of-Capacity to Contract. The :parties to tills Agreement understand that time is of the essence in the completion of all matters contemplated ,by this Agreement.
