1 4 . LIMITED LIABILITY AGENT
Escrow Holder shall not be liable for the sufficiency or correctness-as to form, manner of execution or validity of any
instruments deposited in this escrow, or.as to Identity, authority or rights of any person executing the same or for
failure to comply with any of the provisions of any agreements or other instruments filed and referred to in a Joint
Agreement of Sale end Escrow Instructions. Escrow Holder shall not be concerned with any matters relating to construction,
warranties or other agreements•made between Buyer and Seller over which Escrow Holder has no control and/or which
agreements survive the Close of Escrow. Any agreements between Buyer end Seller are entered Into this Agreement as a
matter of record solely between the Buyer and Seiler with which the Escrow Holder is not to be concerned and Escrow
Holder's duties hereunder shall be limited to the safekeeping of such money. instruments or other documents received tbv
Escrow Holder and for the disposition or return of same In accordance with the escrow instructions set forth here 1.
15 . CONFLICTING INSTRUCTIONS
Should Escrow Holder receive or become aware of any conflicting instructions, demands or claims with respect to this escrow
or with respect to any money or property deposited herein or effected. Escrow Holder shall have the right to discontinue
any or all further acts on its part until receipt of consistent instructions or until the conflict is resolved to Escrow •
Holder's satisfaction. In the event that any dispute between the parties is submitted to arbitration, Escrow Holder is
authorized to follow the award or decision of such arbitrator(s), whether or not such arbitration award or decision is
'binding' or 'finer.
16 . ACTION IN INTERPLEADER
The parties expressly agree that Escrow Holder has the absolute right at Its election to file an action in interpleader
requiring the parties to answer and litigate their several claims and rights among themselves. Escrow Holder is authorized
to deposit with the clerk of the court all documents and funds held in escrow. In the event such action is filed, the
parties jointly and severally agree to pay Escrow Holder's cancellation charges and costs, expenses and reasonable
attorney's lees which Escrow Holder, or its affiliates, is required to expend in this interpleader action. Upon the
filing of this action, Escrow Holder shall be fully released from all obligations to further perform any duties otherwise
Imposed by the terms of this escrow.
17 . CANCELLATION OF ESCROW.
Any principal requesting that Escrow Holder cancel this escrow shall file notice of demand to cancel In Escrow Holder's
office in writing. Escrow Holder shall within a reasonable time thereafter mail ,or otherwise deliver one copy of such
notice of demand to cancel to the principals or their respective agents. Unless written objection to such notice of demand
to cancel is filed with Escrow Holder within fifteen (15) calendar days after the date Escrow Holder mailed or delivered
the intial notice of demand to cancel, Continental Escrow Company is authorized to cancel this escrow. If Escrow Holder
cancels this escrow, it is authorized to return the documents to the parties. Escrow Holder is, in any event, authorized
to hold any money deposited in the escrow until It is in receipt of mutual written instructions signed by all parties or
the order of a court of competent jurisdiction, concerning the disposition of such money. Escrow Holder may return
lender's papers and/or funds upon lender's demand. In the event of cancellation of this escrow, the fees and charges due
Continental Escrow Company, including expenditures Incurred or authorized, shall be borne by the parties or decided by a
court of competent jurisdiction.
All parties to this escrow hereby jointly and severally promise and agree to pay promptly on demand, as well as indemnify
Escrow Holder and hold same harmless from and against, all litigation and Interpleader costs, damages, judgements,
attorney's lees, expenses, obligations and liabilities of every kind which, In good faith, Escrow Holder may incur or
suffer in connection with or arising out of the cancellation of this escrow and/or any distribution of Purchase Money in a
Joint Agreement of Sale and Escrow instructions. Notwithstanding any of the foregoing provisions of this paragraph, and in
accordance with DRE regulation 2781(c)(4)(C), only the Seller (Builder/Developer)'and not the Buyer shall indemnify and
hold Escrow Holder harmless from any claim by Buyer arising out of payment of Purchase Money, as defined in DRE regulation
2791(a). to Seller pursuant to a waiver by Buyer of the right to a determination of default by a court arbitrator.
1e . TERMINATION OF AGENCY OBLIGATIONS
if there is no action taken on this escrow for any six-month period, Escrow Holder's agent obligation shall terminate at Its
option and'Escrow Holder shall be authorized to return all documents, monies or other items to the parties depositing same.
This shall not limit Escrow Holder's right to withdraw as escrow agent from this transaction at any time. In the event of
termination of Escrow Holder's agency obligations, the parties shall pay its lees, charges and any expenses incurred.
1 9 . RIGHT OF RESIGNATION
Continental Escrow Company has the right to resign as escrow holder, upon reasonable written notice, and It is acknowledged
that five calendar days notice to the parties shall be deemed reasonable under this paragraph. If such right is exercised,
Escrow Holder is authorized to return all funds and documents to the party who deposited them and Escrow Hoafer shell have
no further liability in this escrow.
20 . MEMORANDA
Escrow Holder is to be concerned only with the directives specifically set forth in the escrow Instructions and amendments
hereto, and is not to be concerned with or liable for Items designated as 'memoranda' in the within escrow Instructions,
nor with any agreement or contract between the parties.
21 . ' DESTRUCTION OF RECORDS •
Escrow Holder is authorized to destroy or otherwise dispose of any and all documents, papers, instructions, correspondence
and other material pertaining to the escrow at the expiration of five years from the close of escrow or cancellation
thereof, without liability and without further notice to the parties In the transaction.
22 . CHANGE OF OWNERSHIP
Revenue and Taxation Code Section 480.3 requires that Buyers complete a Preliminary Change of Ownership Report (PCOR) for
all deeds and other documents, which reflect a change in ownership of reel property. If such PCOR Is not presented at time
of recording, or is Incomplete, the County Recorder will charge a penalty, which will be the responsibility of the Buyer.
Escrow Holder will furnish the required form to the Buyer, but will not accept responsibility for its acceptance.

to hold Escrow Holder harmless for such reporting. The Parties also agree to provide to Escrow Holder all documentation
and information requested by Escrow Holder to comply with reporting requirements.

Escrow Holder is authorized to accept and rely upon instructions and amendments thereto as such may be submitted via
