maintaining signs, markers, striping ahd lighting, if'any;and such other work,as is
reasonably necessa~ or proper to repair and preserve the PRIVATE STREET for
normal access, ingress and 'egress purposes..

5 In the event the OWNERS retain a contractor to perform aflY maintenance and
obngationwith Tespectto th.e PRIVATE STREEl;, the QYYNER~ shall requir~slfc,h
'contractor to maintain liability insurance to cover a!1Y liability arising as a result of its

6 OWNERS shall defendand.indemnifyand hold harmless CITY, CITY's engineer and
their consultants and each oftheiroffiCial~, direytor:=;, officers,agentsahd:e_mployees
from and ag?inst ci,[lliability,q1ilirfts, darna'ges, IbssEls.expenses,'personallnjuryand
gther costs, incluaing:costs otdefense,and attorney's fees, incurred by or payable to
any'other usecif'the PRIVATEiSTREET, or to:anyotlier third parties arising out of I or
'in anyway related to tne! use, repair or maifltenanceof the PRIVATE SifREETS.

PRJ\lATE:?TBEET is intended:to i,nclude a review, ih's'pection~or acknowledgment of
a responsibility for any such matter, afld CITY, CITY's engineer, and their
consultants,and each of their officials, director,s, officers, employees and agents,
shall have absolutely no responsibility or liability therefore.
-, 7 If.in the CITY:s sole judgment the PRIYATE STREETare not bejng~mail'1tained to
,standards set forth :in 'paragraph. 3 ofthis, Agreement'; :the CITY may; thereupon
. provide,written:,noticetci the'OWNERSJo initiate, repairs or constructionwitnin ninety
(90) days. Upon failure to demonstrate good ,faith to make r~pairs or construction
withif:1 ninety (90)\day's of receipt of such noticEJ,tli~ gWNERS agree that the CITY
may make all neEided 'repairs to the PRIVATE STREET to meet,the standards set
forth in paragraph 3 and to then assess the costs thereof to the OWNERS The
OWNERS shall Teimburse the CITY for all reasonable costs incurred by the CITY in
connection with such maintenance activities. If the OWNERS do not so reimburse
