THIS BIOLOGICAL OPEN SPACE CONSERVATION EASEMENT DEED (hereinafter

("Grantor"), in favor of the CITY OF'POWAY ("Grantee"), and in faVor of the CALIFORNIA DEPARTMENT OF
FISH AND GAME ("CDFG"), and'theXJNITED STATES FISH AND WilDLIFE SERVICE ("USFWS!'), with
reference, to the following facts:
RECITALS
A. Grantor isthe sole owner, in fee simple, of certain real property;in the Cityof Poway,
County.of!San Diego, State of CaliforQia:;:more particularly describes! in Exhibit"A" (legal description) and
Exhibit"B" (easement plat) attachedl1ereto,and incorporated by this reference (the "Property") and;
B. The Property possesses wildlife and habitat values, (collectively, "conservation
values'!) of great importance to Granteepursuanfto the adopted City.of Poway Subarea Habitat Conservation
Plan/Natural Community Conservation'Plan;("poway HCP") and companion Implementing Agreement, and;
C. The Property provides high qualityhabitaUor lilac, SanDiego mountain mahogany,
scrub oak, arroyo willow, deer grass, California dock, San Diego sa"gewort(a"sensitive plant) and,granite night
lizard (a sensitive animal) and contains southern mixed chaparral and riparian scrub habitats, and;
D In accordance with the adopted Poway HGP and companion Implementing
Agreement, this Conservation Easernent Deed:shall provide for the protection in perpetuityoUhe Property In
addition, the CDFG and USFWS are'herebY identified and named as' co-beneficiaries of this.Conservation
Easement Deed. The,Department ofFisha'nd.Game has jurisdiCtion; pursuaht to the Fish,and Game Code

Inconsideration of the above recitals and,the'mutual covenants, terms, conditions, and, restrictions

1 Purpose. The purpose of, this Conservation E"selTlent Deed is to ensure the Property will be
protected imperpetuity and retained forever in,a'natural.biological openlspacecgndition and'to. pr,?vent aQY
use onhe:Property that will.significantly impair or interfere with the conservation values ofthe,Property
Grantor intends thanhis Conservation Easement'Deedwillconfinetheuseof the" Property tosuthactivities,
indudingwithout limitation, thoseiqvolviQg the preservation and erihancementofnative species and their
habitat in a manner. consistent with the h"bitatconservatii:m purposes !Jf this Conservation EasementDeed.
2. Graritee'sRiqhts. To accomplish the purposes of,this Conservation Easement Deed, GraQtor
hereby grants and'conveys tnefollo\Ning rignts,;to,Grantee by this Conservation EasementOeed:
(a) To preserve'and protect in. perpetuity the conservation values. of the Property;
(b) To enter .up'on :th'~ Rroperty .at reaso~able times in order to monitor 'Grantor's
compliance with and to otherwise!enforce the terms of this Co.nservation Easement Deed:and:f9r scientific
research and. interpretive purposes bY:GranteEj or its designees; provided that Grantee shall. not unreasonably
interfere with Grantor's use and quiet enjoyment of the Propert'(;
(c) T o prevent any activity on or use of the Pr()perty t)1at is inconsisterit.\Niththepurposes
, of this Consel)iation Easement Deed,aha to require the restoration o/:sllcnareas or features of the Property
that,may be damaged by any act, failure'to act, or any use that is inconsistent with the purposes of'this
Conservation Easement Deed; .
(d) All mineral, ,air and wa!er rights necessary to protect and to sustain the biological
resources of the Property; and
(e) All present and future development rights.
3. .Prohibited Uses. Anyactivity,on or use ofthe Property inconsistentwith the purposes of this
Conservation Easement Deed ispro~ibijed: Withoutlimitingtbe generality ofthe foregoing, thefollowiriguses
by Grantor; Grantor,'sagents, and third p'arties, are expressly prohIbited:
(a), Unseasonalwatering, use of herbicides, rodenticides,.or \Need abatement activities,
incompatiblefir.e protection activities and:any and all other uses which may adversely affecfthe purposes of

(c) Grading or surface entry for exploration or extraction of minerals;
(d) Erecting of any'b[jilding, billboard, sign;

,4 Grantor'sOuties. Grantor shall undertake all reasonable actions to prevent the unlawful entry
and trespass by persons whose activities may, degrade or ha"rmthe conservation values.of.the Property In

5. Reserved Riqhts. Grantor reserves to itself" and to its personal represent"tives, heirs,
successors, and assigns, all rights accruing from its,pwnership oiJhe Property, including toe righttoenga,gein
or to:permit'or.:inviteothers to engage,iri'all uses oftheProp'erty that'are'consistent with'thepurposesofthis
Conservation E.asemerifl?eed.
6, Grantee's Remedies. If Grantee determines that Grantofis in violation'of.theterms'ofthis
CoriservationEasementOeed,or.that a yioi'~iion is threatemid, Gral1tee'shallgive w.ritten notisetoGrantor of

earth movement, or from any pruderitactiori taken by Grantcir:tJiidefemergencycondltions to prevent,:abate,
or mitigate significant injury to the Property resulting from such causes. '
6.4 Departrnent':of Fish and Game RiGht of Enforcement. All rights and remedies
conveyed .to Grantee under this:Conservation EasementDeed. shall extend to and are enforceable'.iiy the
Department ofFish and Game.
7 Metal Fence Stake Installation and Maintenance, .. In order to identify and demarcate the
boun'daries ofthe Conservation' Easement Deed area (Property)with,in}78-21 0-24, the Qrantor shall insta~
and,maintain metal.fencestakes(T-stakes pairitedwhite),six (6)'.feet'in height [2 feet below grade" and,4.feet
exposed above grade] as follows: A stake shall be installed at the'property lineiat the point of intersection,Wiih
the easemeritiioundary line and al,~o instajle,d at intervals of,seventy,five (75):feet.alongthe:length of'the
easement boundary line. The:purposeofthi~,stakingis to ide,ntify:j9the Igt owner'the'boundaries ofthe

8. ,Access. This Conservation Easement Deed doElsnot convey a general right of access to the
,public.
9 Costs and Liabilities. Grantor retains all responsibilities and shall."bear all costs and
liabilities of any ,kind related to the ownership, operation; upkeep"and maintenance of,theProperty
9.1 Taxes. Grantor shall pay before dellnqu.!lncy all taxes, assessments, fees, and
charges of whatever description levied on or assessed against'the Property by competent:'authority
(coll.ectiv~ly "taxes"), including any taxes imposed upon,. or: incurred, as a resufi of: 'ihi~'CQns:erVat;on
