OWNERS shall defend and indemnify and hold harmless CITY, CITY's engineer and their c6nsultantsand each oftheir officials;directors, officers, agents and employees fr()mand against all liability, claims, damages; 'losses, expenses, personal 'injury and other costs"including, costs of defense and attorney's fees,incurred by or payable to ahyother use, of the PRIVATE STREETS, or to,any otper third part,ies'arisingoutof or in'any 'Yay related'to,th~,use, rerair or maintenance'ofthe PRIVATE STREETS. Nothing iii,this Agreement"thespecificatioiis,or:other contract documerits.or CITY:s' approval of the plans, andspecificatiol}s for or ,insp_ection of the work regarding the PRIVATE. STREETS is :intended to include a review, inspection, or acknowledgment ofa resllOiisibility for any such l11atter,'and CITY, CItY~sengineer;,and'their consuttants"and each of their officials, directors, officers, employees and agents, shall have absolutely no responsibility or liability therefor 7. Ifin'the CITY's solejudgmeritthePRrV ATE STREETS, are not being maintained to,standards set forth in paragraph 3 ofcthis Agreement, the CITY m~y there.,upon.provide written notice to the OWNERS to iriitiatefepairs,oiconstruction within ninety'(90) days. Upon failureto demonstrate good faith to make repa!,s ononstruction within. niJ1ety'(90) d~ys ofreceipt of such:notice'the OWNERS agreethat the GTY; may make all neededrepairs:to,the PRIVATE STREETS to meet the standards set forth in paragraph 3 and to then assess: ihe costs thereof to the OWNERS. The OWNERS shall reimburse the' CITY for all reasonable,costs.incurred'by the CITY in connection with such maintenance activities. If the OWNERS do. not-so reimburse the CITY within thirty (30) days after CITY's demand"tnen CITY may pursue.a1l6fitsfemedies at taw or inequity 8.
