! WHEREAS, this Agreement is required asa condition of approval by the CITY of a building pem1it Pllrsuanl.
, to Section 17:52.040 of the Municipal Code and Ordinance 303 and304relative to construction ofa single
family residence at t 5480 White Vale Lane;
WHEREAS, Owner wishes to provideJor the rri.aintenance and repair of those certain PRIVATE STREETS
described ahd shown on Exhillit A,attached'hereto and made a part.hereof, hereinafter referred,to as the
"PRIVATE STREETS" >
WHEREAS, Owneris,the!owner of certain real property being!developed as a single family residence that
will use and enjoy the benefit of such PRIVATE STREETS. A complete legal description of said real
property is includ~d in Exhibit B attached hereto and made apart hereof Said reat property is hereinafter
referred to as the "Property";
WHEREAS, it is the mutuat desire of the parties hereto thanhe PRIVATE STREETS be maintained and
repaired in a safe and usable condition;
WHEREAS, it isthe'l11utual intention oftheparti,es thaJthis Agreement constitute a covenant running with
the Property, binding upon each successive owner'of the Property
NOW, THEREFORE, IT IS HEREBY AGREED AS FOLLOWS

2. The cost of maintaining the PRIVATE STREETS shall be borne by the OWNERS or his or her heirs,
assigns, and su'ccessors in interest. Notwithstanding, the foregoing, OWNERS may seek
contributionsofrec6rri.pense frorri. and by all other owners, heirs, assigns and successors in interest
who may be obligated,undenimilarPrivateBtreetMaintenanceAgreements with the City of Po way
relevant to this section of private roadway

access"ingressand'egress,to'and from the Property Repairs and maintenance'undei this'Agreetnent
shall include; but are not'/lmited to,fiiling,6fchuckholes; repairing cracks; rerairing and resurfacing
of roadbed~, r~pairingand maintaining drainage "structures, 'removing debris,maiiitaining signs,

markers, stripirig and:lightil1g,ifany, and,such otlierwork,asis reasonably necessary or proper to ,
repair and preserve the PR!,v ATE STREETS for normaL access, ingress and egress purposes.
4 The obligation of the OWNERS 'as outlined herein shall commence with the issuance of a building
permit by the CITY to construct-a single family dwelling,atJ'5480 White Vale Lane:
5 In the ,eveni the OWNERS,retain' a,contractor'to perform',anymaintenance and obligation with
respecfto the PRIVATE STREETS, the OWNERS shall requife,suchcontractof to tnaintain liability
insurance to,cover any liabiIity'arising as'aresult,of its activities with regard to such'maintenanc~
activities.
6. OWNERS shall defend and indemnify and hold harmless CITY, CITY's engineer and their
c6nsultantsand each oftheir officials;directors, officers, agents and employees fr()mand against all
liability, claims, damages; 'losses, expenses, personal 'injury and other costs"including, costs of
defense and attorney's fees,incurred by or payable to ahyother use, of the PRIVATE STREETS, or
to,any otper third part,ies'arisingoutof or in'any 'Yay related'to,th~,use, rerair or maintenance'ofthe
PRIVATE STREETS. Nothing iii,this Agreement"thespecificatioiis,or:other contract documerits.or
CITY:s' approval of the plans, andspecificatiol}s for or ,insp_ection of the work regarding the
PRIVATE. STREETS is :intended to include a review, inspection, or acknowledgment ofa
resllOiisibility for any such l11atter,'and CITY, CItY~sengineer;,and'their consuttants"and each of
their officials, directors, officers, employees and agents, shall have absolutely no responsibility or
liability therefor
7. Ifin'the CITY's solejudgmeritthePRrV ATE STREETS, are not being maintained to,standards set
forth in paragraph 3 ofcthis Agreement, the CITY m~y there.,upon.provide written notice to the
OWNERS to iriitiatefepairs,oiconstruction within ninety'(90) days. Upon failureto demonstrate
good faith to make repa!,s ononstruction within. niJ1ety'(90) d~ys ofreceipt of such:notice'the
OWNERS agreethat the GTY; may make all neededrepairs:to,the PRIVATE STREETS to meet the
standards set forth in paragraph 3 and to then assess: ihe costs thereof to the OWNERS. The
OWNERS shall reimburse the' CITY for all reasonable,costs.incurred'by the CITY in connection
with such maintenance activities. If the OWNERS do. not-so reimburse the CITY within thirty (30)
days after CITY's demand"tnen CITY may pursue.a1l6fitsfemedies at taw or inequity
8. Ifthe CITY elects to make neci'ssary.repairs'iilaccofdance'with paragraph 7 above, said work shall
be without warrantySaidrepair,shall be acc,epted "as is" by the OWNERS and the without any
warranty of workmanship,
9 The foregoing covenants shall run with,the land and snail be'deemed'to be.for the ,benefit of the land
of each ahd evefy'person who shall at any tithe oWri airof any poftion of the Property referred to
herein.
10 It is understood,'and 'agreed .that,the,coven~nts hereincoptained shall be binding on the heirs,
executors, administrators, successors and assigns,ofthe..OWNERS.
