JOINT USE OF P ARKINGANDDRIVEW AYS i THIS AGREEMENT (the"Agreement") entered into .this 14th day of June, 2001, by and I < between the City of Poway, amunicipakorporation (herein,afterreferred to as "Poway"), I and Poway Library Pl?za, LLC, a California limited liability company (hereinafter referred to as "Poway Library Plaza). RECITALS: Properties. A. Poway Library Plaza,is'the owner of certail!realproperty commonly known (or described) as 13140 through 13156 poway Road located in the City of Poway, California, more. particularly described in the legal description of Parcel 1 on Exhibit "A", page 1 of 3, attached hereto and in_cQrporated herein by this reference and <shown as Parcel 1 on the plat map attached hereto as Exhibit "B" and incorporated herein by this reference. Poway Library Plaza;,is the owner of certain real property commonly known (or described) as 't3l66 through 13172 Poway Road located in the City of Poway, California, more particularly described in the legal description of Parcel 2 on Exhibit "A", Page 2 of 3, and shown as Parcel 2 on the plat map attached hereto as Exhibit "B" poway is the owner of certain real property commonly known (or. described) as 13202 Poway Road located in the City of Pciway, California, more particularly described in the legal description of Parcel 13 on Exhibit "A", page 30f 3, and shown as Parcel 3 on the plat map attached hereto as Exhibit "B" B. Intent. It is the intent of the parties, in entering into this Agreement, to provide mutual easements for ingress, and egress over driveways for the.subjectproperties, and to provide for the joint use of parking thereon, by the parties thereto, and to provide for the other easements described herein, all as set forth below NOW THEREFORE, ,FOR GOOD AND ,VALUABLE CONSIDERATION, THE RECEIPt OF WHICH IS HEREBY ACKNOWLEDGED, THE PARTIES AGREE AS FOLLOWS: 1 Grant of Vehicle Ingress and Egress Easements. a. Poway Library Plaza hereby grants to Poway; its successors and assigns, rights- of~wayand easements for vehicle illgress' and egress, arid purposes inCidental thereto, on and over the driveway and parking 16tportioris of Parcels I and 2, as shown on the Site'Map attached hereto as Exhibit"C" 2. Joint Use The easements granted in Paragraphs: I (a) and (b) above (collectively the "Driveway and Parking Easements'} are mutual and are intended to provide for the joint use of the parties hereto and their successors and assigns. 3. Walkwav Access Easement.. Poway hereby granis to Poway Library Plaza, for the benefit of Parcels I and 2, a non-exclusive, permanent easement ("Poway Walkway Access Easement") for pedestrian ingress and egress over and upon the sidewalk and pedestrian portions of Parcel 3, as depicted on Exhibit D and D-I 4.a. Parking Easement. Po way hereby grants for the benefit of Parcel I and 2, a mutually reciprocal, non-exclusive, permanent' ,easement for the purposes of parking vehicles, and uses incidental thereto. ("PowayParking Easement") upon the'parkinglotportions of Parcel 3, as depicted on Exhibits C, E and B-1 So long as the Poway is the title holder to Parcel 3, Poway shall be entitled to reserve for its exciusive use all the parking spaces which can be striped on the parking lot area ofl'arcel 3. Once poway is no longer the title holder to Parcel 3, the entitlemenH6r reserved parking shall terminate. 4.15. Parking Easement. Poway Library Plaza hereby grants for the benefit of Parcel 3 a mutually recipro'caJ, non-exclusive, permanent easement for the purposes of parking 13 vehicles, and Ilses incidental thereto ("PlaZa Parking Easement") upon the parking lot portions Of Parcels 1 and 2, as depicted on Exhibit c." In the event powaY requires short term visitor _parking in excess of 13 vehicles ("Excess Visitor Parking") for occasionaJ specHII events or registrations, Poway shall be entitled to utilize said Excess Visitor Parking on Parcel I and 2. In the event Poway Library Plaza' requests Poway to provide written notice to Poway Library Plaza of said, Excess Visitor Parking needs, Poway shall provide written notice two weekdays prior to the occurrence of Excess Visitor Parking. Once Poway is no longer the title holder toParceJ3, this provision shall terminate. 5 Drainage Easement "A". Poway hereby grants to Poway Library Plaza, for the benefit of Parcels I and 2, a permanent, nonce)wlusive easement for surface drainage over Parcel 3 through the swale which will be completed by Poway Library Plaza in accordance with Po',\'ay -approved grading and parking lot plans, as shown on the Site Map attached hereto as depicted on Exhibit "F and F-I" The Owner of Parcels I and 2 and Owner of P;arcel 3 shall each maintain, repair and keep free of debris and oostruction the drainage swale located on its respective-Parcels. 6. Drainage Easement "B": Poway hereby grants to Poway Library Plaza, for the benefit of Parcell, a permanent, non-exclusive easement for an und~rground ! storm/surface drainpipe ("Drain Pipe") over Parcel 3 iri accordance with Poway- approved grading imdparking lot plans. The Owner of Parcel 2 will maintain, repair and keep free of debris and obstruction the Drain Pipe referenced herein. Said Drainage Easemen!,"B" lies on the easterly 2 feet of said Parcel 3. 9 SewefEasemenl. P.oway Library Plaza grants to Poway, for the benefit of Parcel 3, a permanent, noniexclusive easement for sewer facilities over Parcel 2, (the "Sewer Easement"). fhe Sewer Easement is more particularly described on Exhibit "I" attached hereto and incorporated herein by this reference. 10 Owners. As used herein, an "Owner" means the holder of fee title to each Parcel, whether one or mote persons or entities from time to.time. Each fee owner shall be considered an' "Owner" hereunder only during the time it holds a fee interest in a Parcel. 11. Permitted Users. The Easements granted herein may be us,ed, on a non-exclusive basis, by each Ownerof a Parcel that is benefited by such Easement as expressly provided in th\s Agreement, and by each tenant of any such Owner ,a,nd their respecti ve officers; directors, employees, agents, contractors, sublessees, customers, visitors, invitees and licensees, and :by such service and emergency vehicles and personnel as shall be necessary and appropriate to the lawful use of the benefited Parcel (collectively, the "Permitted Parties"). 12. No Obstruction. No Pennitted Party shall use or permit the use of the Easements granted herein so as to interfere unreasonably with the ,use of any other ,Permitted Party nor shall any Permitted Party create or pennit any barricade on or obstruction of the easements, unless such partY has obtained the prior written consent of each Owner benefited by such Easement(s). n. Maintenance. The Owners of Parcel I and 2 shall each be responsible for repairing and maintaining the Easementareas located on such Owner's respective Parcel, and shall be responsible for the paynient'of all other costs associated with each Owner's respective Parcel including, but 110t limited, to property taxes and insurance. The Easements granted by this reserved by this Agreement shall be perpetual. 16. General Provisions, a, Enforcement, Attornevs' Fees. Each benefited Owner, until such time as it no longer owns a'Parcel, shall have the right:to enforce this Agreement. If an Ownetfiles an-action or proceeding to enforCe this Agreement, tl:J.e prevailing party shall be entitled to recover from the other party or parties all reasonable expenses, attorneys' fees and costs. b. Indemnitv Each Owner (the "Indeinnifying, Party") assumes the risk of injury to and ,death, of persons and damage.to al!ddestruction of property in connection with its ,use of the Easements granted to it hereunder and, except for the gross negligence or willful misconduct of the other Owner, (each an "Indemnified'.Party") agrees to defend (withco,unsel reasonably satisfactory to the Indemnified Party), indemnify and hold harmless the Indemnified Party, its agents, partners, directors, officers and employees, tenants and invitees, agail1st any aild all claims, losses, damages or liabilities, including, without limitation, injuries to or death of persons, whether employees, contractors, tenants or invitees of the Indemnified Partybr others, and any' damage to or destruction of property and envirorunental degradation or contamination of a Parcel owned by the Indemnified Party, which arise out of or relate to the use or. maintenance by the Indemnifying 'Party,its agents, employees, tenants, guests or invitees of the Easements granted to such IndemnifYing Party. c. Insurance. For so long as any Easement granted hereunder is,in effe<<t, each benefited Owner, at its own expen,~e, shall. maintain appropriate policies of public liability insurance (including, without limitation, workers' compensation insurance) and casualty insm:ance for any injury to or death of persons or damage to or destruction or property resulting from the use, operation, maintenance, repair or replacement of'the Easements granted to such Owner hereunder, including, Without limitation, all damages to improvements, fixtures and personal property located on a Parcel owned by such Owner.
