In accordance With the provIsions of the City of Po way MumclpaICode, Greystone Homes, Inc., the
subdivider/developer (Developer) and Old Coach Collection Homeowners Association (Owner), Old
Coach Collection referred to as City of Pbway Tract No. 89- I 3R, Old,Coach Golf Estates, Phase 1, Unit
1, Map No. 13339, for the use andbehefit of present and prospective Old Coach Collection property
owners, in the City of Poway, County of San Diego, State of California, in consideration of the grant of
permission by the City of Po way (City) to preserve and mamtain Owner's pnvate improvements within
City property, as morc particularIydescribed on Exhibit "A", consisting of a wall, landscaping, and
irrigation (Encroachment) within the area described on Exhibit "B~',and as depicted on Exhibit "C" and on
the Landscape Architecture..plans for City of Poway TraCt 89- I 3R, Old Coach Golf Estates, Phase l, Unit
l, approved by the City Landscape Architect and Director ofPlal1ning Services on November 25, 1996, a
copy of which is on file at the Development Services Department of City of Po way
Collectively, the Owner, its 'successors apd assigns, covenant and agree with the City of Po way, as
follows:
(a) The Encroachment has been installed and shall be maintained in a safe and sanitary condition at
the sole cost, nsk and responsibility of the owner and successors in interest.
(b) Owner, its successors and assigns, heteby agree to all times, indemnify and save the City free and
hannless from and pay in full, any and all claims, demands, losses, damages or expenses that the
Cltymay sustain or incur in any manner resulting from theconsttllction, maintenance, state of use,
repair or presence of the structure installed herein urider, including any loss, damage or expense
arising out of (I) loss of, or damage to property, and (2) injury to, or death of person 5; excepting
any loss, damage or expense and claims for loss, damage or expense resulting solely from the
negligent actor acts of the City, its contractors, officers, agents Ot employees.
(c) The Owner o~ its' successors and assigns must remove or relocate any Encroachment within 60
days afterllotJce by the City of Po way orthe City of Po way may cause such work to be done, and
the cost theteof shall be a lien upon said land.

(d) Whatever rights and obligations were acquired by the City with respect to City's easements and
rights-of-way shall-remain and con\inue in full force and effect and shall in no way be affected by
the City's grant of permission to preserve and maintain the Encroachment.
