This Memorandum of Ground Sublease Agreement is made as,ofthis 8 t hday of

California nonprofit public benefit corporation ("Sublessor"), and LOS ARCOS LIMITED
,P ARTNERSHIP, a'California limited partJiership ("Sublessee"), which agree asfoUows:
LLease Term and Prerriises, Sublessor hereby leases to Sublessee and Sublessee
hereby leases from Sublessor, pursuant to a Ground Sublease Agreement dated as of
J u n e8 .200 L(the "Lease"), the real property located in the'City of Poway, County of
San Dlego,StateofCaIifornia described in Exhibit A attached hereto,{the "Premises") for an
initial term of fifty-five (55) years,commencing on the "Commencement Date" (as defined III the
Lease),
2, Provisions Binding:on Sublessor _ All of Sublessor's covenants under the Lease,
both afftrma.tive and negative, ,'are intended to and shall bind th~'Sublessor and its successors and
assigns and' shall,inureto the benefit of the Sublessee and its pertriiried successors and assigns,
3 Sublessee's Right to Extend or Renew The Lease, contains four (4) options to
renew or extend the term of the Lease, for ten (10) years each,
4 Purnose of Memorandum, This, Memorandum, is prepared for the purpose of
recordation to give notice of the Lease, Itsball not constitute an amendment to ormodificaiion
of the Lease,
