THIS MEMORANDUM OF, LEASE ("Memorandum;')iis hereby entered into as of June 8,
2001 by and between the p,O\VcAYREDEVELOPMEN,T'AGENCV, a public body corporate and
,politic (the "Agency"), and COMMUNITY HODSING.OF'NORTH COUNTY, a California
nonprofit corporation (the "Lessee").

RECITALS
A. Agency and Lessee have entered into a "Ground Lease" dated concurrently herewith
for that certain parcel ofreal.'property which is legally described in ,Exhibit A attached hereto and
incorporated,herein by reference (the "!'.roperty"). A copy, oftheGroundLease is available for
public inspection at Agency's offi<;e at 13325 Civic Center Driv'e, Poway, California. The term of
the Ground Lease ,is fifty-five(~5) Years, with options to extend'the term of the Ground Lease for up
to four ten (10) year periods, exercisable under certain conditiops setforth in the Ground Lease.
B The Ground Lease provides that a short form memorandum of the;Ground Lease shall
be executed and recorded in the OffiCial Records of San Diego Cbunty, California. '
NOW, THEREFORE, the 'parties hereto certify as follows:
Agency"pursuantto,the Ground Lease, has leased the Property to the Lessee upon the terms
and conditions provided for therein: This Memorandum ofLea~e' is n<:>t a complete'summaryofthe
Ground Lease, and shall notbe used tci'interpiet the provisions of the Ground Lease,.
