resources of the Property; and

3. Prohibited:Uses.Anyact[vityon or use ofthe'Prop_erty,iinconsistentwith the purposes of this
Conserv'ationEasemeht Deed is prohibited: .Without Iim~ing the gel)eralityof the foregoing, the following uses
by Grantor. Grantor's agents, and third parties, are expressly prohibited:
(a) Unseasonalwatertng, use of herbicides, rodenticides, or weed abatement aCtivities,
incoinpatibleJire'protection activities and,any and all other useswhich may'adversely,affect the purposes of
this Conservation Easement Deed; , . ,
(b) Use of off'roado\lehicles;
(c) Grading or,surface entry for exploration or extraction of minerals;
(d) Erectingo/any building. billboard, sign;
(e) Deposttingof soil, trash. ashes, garbage.waste; bio-soHds or any other material;
(I) Excavating, dredging or removing of loam,.gravel. soil: rock, sand or other material;
(g) Otherwisealtertng the general topography of the Property, including building of roads;
,(h) Re,n]9vin9; destroying, or cutting of trees, shrubs or other vegetation, except as
required by lawefor OHirebreaks, (2). maintenance of existing foot trails, City-approved recreational trails. or
roads, or (3) prevention or ireatment of'disease,

4 Grantor's Duties. Grantor shall undertake' all reasonable actions to prevent the unlawful entry

5. Reserved Riahts. Grantor .reserves to itself, an,d to its personal representatives. heirs,
successors, and assigns, all. rights accruing from its ownership of the Property" including the right to engage
.in or to perinitor.invite others toengage.in all uses of the Property that are consistent with the purposes ofthis
Consi!rvation Easement Deed.
6. Grantee:s Remedies. If.Grantee determines that'Granior'is in.'violation of the terms of this
Conserv'ation'Ea'sement Deed 6flhal.a violation is threatened.,Graniee shall give written notice to Grantor of
,such violation and demandin,writingthecure of such violation. If Grantor fails to cure the violation within fIfteen
(15)dilySafter receipt ofsaidWrillen notice and demand from Grantee, or said cure reasonabiy requires more
thilll,flfteeilo(.15):aays.toccimpleteillld.Granteefails to, begin the cure,withinthe,flfteen (,15) day period or fails
to,continue diligently'to ,complete tlie cure. Grantee may bring an action, atlaw orin equity in a. court of
competeiltjurisdiction to enforcecompliilnce' by Grantor with the terms of this Conservation Easement Deed,
to recover any',damages to which, Grantee may be entitled for violation by Grantor of the terms of this
Conservation EasemeriLDeed. to enjoin the violation, ex parte as ,neces.~ry; by temporary or permanent
injunction without the necessity of proving either actual damages or the,inadequacy of otherwise availilllle legal
remedies, otfor other equitable relief, including, but not limited to. the.restoration of the Property, to the
condition 'in which it existed prior to any:such violation or injury Without limiting Grantor's Iiabiliiy therefor,
Grantee may apply any damages recovered to.the cost of undertaking any corrective action on the Property,
If G'rantee; in, its sole discretion. determines that circumstances require immediate action to prevent
ormitigate:significantdamage,to the conserVation values ofthePioperty, Grantee may pursue its remecjies
under thisparagraphwithout priornotiee to Grantor or without waitiilg f6r,theperiodprovided for cure to expire.
Grantee~s rights under this'paragraph apply equally to actual or threateiled'violations of the terms of this
Conservation Easement Deed: Grantor agrees that Grantee's.re'ri1eaies allaw for any violationoflhe terms
of this CQflservation Easement Deed are'inadequate and that Grantee snail be entitled to,the injunctive relief
described in this section, both'prohibitive and mandatory, in additiori,tosuch'other relief to which Grantee may
be entitled, inCluding spec~ic performance of the terms of this Conservation Easement Deed, without the
nece~ityof proving either actual dama,ges or the inadequacy of otherWise available legal remedies, Grantee~s
remedies described in this section,shall'be cumulative and shall ,be in'adaition to all remedies now or hereafter
existingatlawor inequity, including but nol.limited to, the remedies set forth in Civil Code Section 815; et seq.,
inclusive,
If atany time in theJuture,l<;rantor,or any subsequenllransferee.uses or threatens to use such lands
for purposes'inconsistent with this Conservation Easement Deed. notwithstanding Civil Code Section 815.7, the
California AttClrney General or any entity or individual with a justic~ble interest in the preservation of this
ConsElrvation Easement Deed has standing as interested parties in any proceeding affecting this Conservation
Easement Deed,
6.1 Costs olEnforcement. Any cOsts incurred ,by Grantee in enforcing the terms of this
Conservation.Easerhent'DeedagainstGrantor, including,'but not.limited to, costs of suit and attorneys'fees.
and any costs of restoration i1ecessitated by Graritor's violation or negligence under the terms of this
ConservationEasemenl.Deed shall be borne' by Grantor
6.2 Grantee's.Discretion. Enforcement of,the terms.of this Conservation Easement Deed
by Granteeshall.beatthe discretion of Grantee, andanyforbearance,by,.Grantee to exercise its rights under

8. Access. This Conservation Easement does not convey a general right of access to the public.
9. Costs and Liaoilities. Grantor retains all responsibilities and shall bear all costs and
'iabilities of any kind related to,theownership;operalion, upkeep, and maintenance oftheProperiy
9..1 Taxes.. GrantOr shall pay before delinquen'cy all taxes, assessments, fees, and
charges of whatever description levied on or assessed agairistthe Property by competent authority
(collectively "taxes"), incluging ~ny taxes imposed upon, or incurred as a result of, this Conservation
EasernentDeed, and shall furnish.Grantee with satisfactory evidence of payment upon request
9.2 Hold Harmless.. Grantor shall hold harmless..indemnify, and defeno'Grantee and its.
directors. officers, employees, agents. contractors, and representatives (collectively "Indemnified Parties")
from and against all liabiliti.es; pen,!ltie,s; co,sts, losses, dCimages,expenses, causes of action, claims,

connected with: (1) injury to or the death of any person, or physical'damages to any property,resulting from
