S.H.J.A.M. Poway LLC., Owner, ("OWNER" hereinafter) of land described in Exhibit,A which is
attached hereto and'made a part herecif,and which is commonly known as Assessor:s Parcel Number 277-
201-02 "PROPERTY(hereinafter). In consideration of the approval of Minor Development Review 99-48 and
an approved building permit to construct a 450 square foot guesthouse on ,the refefe'nced property by the City
of Poway ("CITY"hereinafter), OWNEFfhereby agrees that no portion of the guesthouse shall ever be rented
or leased as a separate unit and complete kitchen facilities shall never be installed.
This Covenant shall run with the land and be binding upon and inure to the benefit of the future
owners, encumbrancers, successors, heirs, personal representatives, transferees and assigns of the
respective parties.

In the event that buildin'g permits are never obtained to construct the proposed guest house'at the
request of the OWNER, the CITY shall. expunge this Covenant from the record title of the'PROPERTY
If either party is required to incur costs to enforce the provisions of this Covenant, the prevailing party
shall be entitled to full reimbursement of,allcosts, including reasonable attorneys' fees, from,theother party
The CITY may assign to persons impacted by the performance of this Covenant the right to enforce this
Covenant against OWNER.
