THIS EXTINGUISHMENJ AGREEMENT (the "Agreement") is entered into by and between the CITY
OF POW A Y ("CITY") and'the POMERADO PROPERTIES, L.P., a.~alifornia Limited Partnership (formerly
Pomerado Properties, a California general partnership) ("POMERADO"), The CITY and POMERADO will
collectively be re(erred to within this Agreement as the "Parties"
RECITALS
A. This Agreement affectsLthaicertain parcel which is legally described as set forth on ExhilJit."A"
which is attached hereto, and made apart hereof.
B. On.orabOlit Januaiy10,,'1989,'the CITY andPOMERADO entered into that certain written
agreement entitled COVENANT REGARDING REAL PROPERTY, which waS recorded January 24, 1989, as
Inst1U111i:mt/FiieNo. 89-039105 of Official Records. Such COVENANT REGARDING REAL PROPERTY
pertainedto.an approval of'a Developll!ent Revie\\C 87-16'TiineExtension by the CITY for the benefit of
POMERAbO, concernIng certain proposed.developnient by POMERADO on the subject property As such
development hasnot'happened and the time exiension has expired, the,C:OVENANTREGARDING REAL
PROPERTY is no longernecessaryand,should be extinguished:
