This AGR!:,EMENT for the maintenanceand repair of certain Storm Water Management Facilities is entered
into between the undersigned Property Owner(s) of the Meadows Silbdivision (hereinafter referred to
collectively as "OWNER") and the City of Poway (hereinafterreferred,to as "CITY") for the benefit of the
CITY, the OWNER, the successors.ininterest to the CITY or ti,e, OWNER, aild the public generally.
WHEREAS, OWNER is the owner of certain real property located in the City of Poway, California, more
particularly described in Exhibit "A" hereto (hereinafter referred to as the "PROPERTY"), which is a
subdivision consisting of individual residential lots, in accordance with:applications for Tentative Map No.
TTM 06-06, DevelopmentPlan No. 06.04, Specific Plan No. 06-01, Variance No. 07-02, Grading.Pennit No.
G 1592-07which areon file with' the C'''TV. This Agreement is required as a condition of approval for such
development.
WHEREAS, in accordance with the City of Poway's Standard Ui'bari'Stonn Water Mitigation Plan, Poway
Municipal Code, Chapter 16, Division VI (the "SUSMP Ordinance"), the City of Poway Subdivision
Ordinance, the City of Poway. Zoning Ordinance, the City of Poway Grading Ordinanceandlor other
ordinances or regulations of CITY which regulate land development and urban.runoff, OWNER has proposed
that storm water runoff from the PROPERTY be managed by the use, of the following Storm Water
Management Facilities which are identified as "Best Managel11C11t Practices" or "BMPs" (list all required
EMF, hy type and general location!
Hydrodynamic separator Un; t #3, approximately 10 feet southwest of the
Meadow's proj ect, boundary southeast corner, behi nd the curb; wi thi n Metate
Lane's north parkway and City of poway street right of way, downstream of a
curb inlet (parcel 4 of attached Exhibits "E" and "F").
Hydrodynami c separator unit #2, approximatelY 300 feet east of the Meadow's
proj ect. bOlindaryHilorthwest corner, along thEl, northproj ect boundary, behi nd
yukon .yiay"s.west curbline, downstream of a curb inlet (parcel 3 of attached

The precise location(s) and extent oCthe BMPs are indicated on the Grading Plan dated 9-5,08 on file with
CITY'sDevelopment ServicesDepartmentas No. G 1592-07, Themanner and standards by whichthe BMPs
mustbe:repaired;and maintained:,in order to retain their effectiveness are as, set forth in the Operation and
Maintenance Plan (hereinafter '''O&M PLAN"), which is attached heretoandinco'lJorated herein as Exhibit
"B".
WHEREAS, OWNER's represent~tions that the BMPs will be maintained have been relied upon.by CITYin
approving OWNER's development applications. It is the purpose oftliis Agreement to assure thalthe BMPs
are maintained" by creating obligations that are enforceable ag~n.~t the. OWNER and the OWNER's'
successors.i,!inter,est in the PROPERTY. It is intended thaUhese obligations be'enforceable notwithstanding
other provisions related to BMp maintenance that are provided by'law.
NOW;THEREFORE, for consideration of (a) CITY's approval ofthe~aboye development applications and
(b) the mutual covenants set,forthherein, IT IS HEREBY AGREED AS FOLLOWS:
1. Maintenance of Storm 'Yater Management Facilities, OWNER agrees, for itself and its
successors in interest, to alI,:or,aiiy portion of the PROPEIYTY, to comply in all respects with the
requirements of the SUSMPOrdinance with regards tothe,rnaintenanceofBMPs, and in particular
agrees to perform, at its, sole cost, expense and liability, ,the following. "MAl!\jTENANCE
ACTIVITIES": all inspectial1s,.c1eaning, repairs, servicing, ~aintenance and other actions speci'fied
in the O&M PLAN,:.with,fespect to all of the BMPs listed'iabove"at the times and in the manner
spe!'itiedinthe O&M pLAN, .OWNER shall keep recofds'ofthismaintenance andprovidecopies of
such records.and annuaL~~rt,ificatian of maintenance, as requested by CITY. OWNER shall initiale,
:perform and complete all MAINTENANCE ACTIVITIES at the required time, without request or
demand from CITY .or 'any other agency. OWNER ,further agrees that "MAINTENANCE
AGTIVITIES" shall includhreplacement or n1odificatiojI of lhe BMPs in the event of failure.
Replacement'shalLbe with an identical type, size and model cif BMP, exceptthat:
(a) The City Engineer may'authorize substitution ofan'alkrnative BMP ifhe or she determines
that it will be' as effective as thdailedBMP; and'
(b) If the failure aftheBMP,in the judgmentofthe City Engineer, indicates that the BMP iT' use
is inappf.apriate.ar in.adeql!ate to the circumstances, the'BMP must.be modified orreplaced
with amore effective HMP to preventJuture failure in the same or similar,circurnstances,

2. Notices. 'OWNER further agrees that it shall, prior:t()transferring,ownership of.any land on which
any ofthe:above BIV1Ps are'located, ilrany lot oi.portiiln'ilf.'the PROPERTY which is served by the

judgment, OWNER h"stfailedto perform the same, Such maintenance by.the CITY shall be

MAINTENANCE ACTIVITIES, and any election byCn:y to perf()11TI,any ofthe MAINTENANCE
ACTIVITIES shall in no.way relieve OWNER of its contiriuingmaintenance obligations,under this

that CITY shall be deemed t() be acting as theageni oftheOWNER and.said work shall be without
warranty or representation.D)i'CITY as to safety or effectiyeness;:shall be,deemed'to be accepted by
OWNER "as is", and shall,be'covered by OWNER's indemnityproyisions below.

OWNER'perfonn the samejand OWNER has fai~ed to doso withiha,reasonabletime stated in the
c:;ITY's demand, then OWNER. shall pay all of CITY's '~osts incurred in performing the
MAINTENANCE A<;:l'IVITIES; plus an administrative.fee.OWNER's'obligationto pay CITY's
'costs'ofperforming MAIN,TENANCE ACTIVITIES isa continuingobligatioii. If OWNER fiils to

4. Grant of Easement to CITY, OWNER hereby grants to CITY: a perpetua!, easement over; under. and
across that portion ()f PROPERTY shown in Exhibit C, for purposes .of accessing th,',BMPs,
inspecting the BMPs, andpe[fonningany of the MAINTENANCE ACTIVITIES specified il]
Paragraph I above. CITY shall have theright,,,t any timean~ without prior notice to OWNER, to
enier upon any part of said'area as may be necessary or con"enientfor,such purposes. OWNER shall
at all times: maintain thePROPERTY so as to make CITY'saccess:C!ear and unobstructed,

PARTIES"); against a:ny:aiid all claims, demands, liability"judgments, awards, fines, mechaniC's
liens, or' other liens, labor disputes, losses, damages, expenses, charges,or costs of any kind or
character; 'induding: attorneys' fees and court costs (hereinafter 'collectively referred to as
"CLAIMS"); rejated.to thkAgreement and arising either, directly ()r'indirectly from any act, error,
omission of'negligence,ofOWNER, OWNER'S'Successofs,' ortheiccontractors, licensees, agents,

error.or omission, whether active or passive, of CITY PAR,IES, OWNER shall have no obligation,

competent jurisdiction that'Slith claim was caused hy,the sole' negligence or willful misconduct of
ClTY'PARTIES. Nothing in this Agreement, CITY's,appfovalofthe development applicationor
plansand'specificaiIons; or inspectionpfthe work is intended to acknowledge responsibility for any
suchmatter,.andCITY,PARTIES shall have absolutely no responsibility or liability therefore unless
otherwise provided by applicable law. .
7. Allocation of Costs. FolloJing.the sale or transfer of-anY of .I he individual residential lots by
OWNER, the cost of the MAINTENANCE ACTIVITIES required by this Agreement shall be
divided equally by, alll2,l.owners, and paid by each lot own'er or his or her heirs, assigns and
sutcessors in interest Tl1iscrequirement shall be binding on alLlot'owners in the subdivision, and
each shall be responsible for his or her equal share of the cost.assoCiated with the maintenance.
8. AgreelllentBindsSucce~so~siandRuns With the PROPERTY,.1t is understood'and agreed that
the terms, covenants'andcoriditions herein contained shall constitute covenants running witMhe land
and shall b!, binding upon tneheirs, executors, administfiltors, successors and assigns of OWNER and
CITY, shalf be deemed,to,be for. the benefit of all persons owning any interest in the PROPERTY
(including.the' interest of CITY or its,successors in the easement granted herein). Iris the intent of
the parties hereto that this. Agreement shall be recorded '.and ':shalf be binding' uponall.persons
purchasing,or otherwiseacqlliringall or any lot. unit or'other portion Oftne:PROPERTY, who shall
be. deemed to have consented'to'and become bound by all the provisions hereof
9; OWN:ER's. Continning Responsibilities Where Work. Commenced or Permit Obtained,
Notwithstanding any other provision of this Agreement,: .no transfer or conveyance of the
PROPERTY or any portion thereof shall in any way relieve' OWNER of or otherwise affect
OWNER'STesponsibilitiesfor installation ormaintenance'o{BMPs,whith may have arisen under.the
ordinances or regulations of CITY referred to in this Agreement,orotlier federal,state or,CITY laws,
on account of OWNER having obtained a permit which creates such obligations or having
commenced grading; construCtion or other land disturbance work,
10. Amendment and Release, The terms of this Agreement may be modified only by a written
amendment approved arid sig'nedby,the Director of Development Services acting on behalf of CITY
and by. OWNER or OWNER:s successor(s) in interest This 'Agree~ent may be terminated and
O\VNERand the PROPERTY released fromthecovenantssetforthherein, by a release, which CITY
may execute. if it detennines that another mechanism'will assure the ongoing'maintenance of the
BMPs or"that it is no longerllecessarytoassure such maintenance.
I L Go~ernirigLaw and Severability, This Agreement shall be governed by the laws, of the State of
California;: Yenue.inany action related tothisAgreement shall be in the SuperiorCourtofthe State
of Calif ofilia, C:otintyofSan Diego. In the event that any ofthe provisions of this Agreement'are
held to be unenforc'eabJe or invafid by any .court of competent jurisdiction, the validity, and
enforceability ofthe remaining provisions shall not be, affected thereby,
