Section IL Definition of Terms
The terms' use:'! in 'this Agreement 'shall be define:'!, as set forth, in Section
12.24.020 of the PcMay M.lll1icipal Code. "CMner" haS heretofore@id for the
improvenents which beriefitOwiler 's proPerty' and, the benefiting :properties
hereinafter described. All of said properties are depi,cte:'! on the ownership

Section III. DE!sciiptiOti Of Properties Affected
The real property affected by this Agreanent, shall be the!:lenefiting
properties legally g.escribed in Exhibit 2. The Obligation of the ~er of. each
bencli ting property shallbecane a lien upon such property for the term hereof ,
p3.ycible onlY-as a condition of approval of any developnent of the benefiting
property, provided that the imposition of such condition shall be reasonably

s~ection IV. Description of' Improvements
The precise locations of all improvements subject to reimbursement and the
canplete dimensions (including frontage) of all benefiting' properties are set
forth in Exhibit 3 attached hereto and sh~ in city of PcMay Improvement Plan
No. 801-04-170, 1-4.
section V. F~;mhl1l7Sement Schedule
The Reimbursement Schedule in the form required, by 'PcMay Municipal Cooe
Sa::tion 13.24.040c, as approved by the city Council of the City of PcMayafter
public hearing, is attached hereto as Exhibit 3. All references in this
Agreanentto reimbursement or to a reimbursement schedule shall mean reimbur-
sementin accordance with the terms of this Agreanent and Exhibit 4.
Section VI. Term
The term of this Agreanent and all obligations and liens created hereby
shall be ten (10) years fran the date of this Agreanent as set forth on the
first p3.ge hereof. 'Upon expiration of said term, ,Owrler shall be entitled to no
further reimbursanen.t pursuant to ,the terms hereOf, ~ers of benefiting proper-
ties shall be under no obligation to Owrler pursUant hereto, and any lien created
hereby shallautanatically and without any furtiler administrative or judicial
process whatsoever, be null and void and of no further force or effect.
Section VII. Agreanent of Payment for F~;mhlJrsement
After public hearing as provided in PcMay Municipal Code 13 .24, and upon
execlitionhereof by City, city' agrees during the: term hereOf to collect ftan the
~ets of the benefiting properties, those Owners shall p3.Y to the City, and
the 'City shall reimburse to Owner those benefit, charges set forth in the
Reimbursement Schedule, plus interest of ,five percent (5%') per year canpounded
annually, less' 'the administrative charge provided in Chapter 13.24; provided,
however, the city shall neither collect nor reimburse any sum which is not
reasonably related to ,the developnent of a benefiting property. The method and
obligation to reiJn!.lurse Owner shall be subj~t to the terms of Chapter~ 13.24 of
the PcMay MuniCipal Code. No amendment of Chapter 13 .24 purporting to increase
the liabili~ty of a benefiting owger shalL be binding upon a benefiting ~er .
herein 'or upon the city hereinunder. In the event of a' conflict between the
terms, hereof ,and, the requirements of Chapter 13.24, the requirements of Chapter
13.24 shall control.

Sa:::1:icm. VIII. Trust Agreement
Pranptly upon collection of all or any part ofa benefit charge, the City
shall depoSit sUch funds in a local financial institution in a separate' account
in the name of the City in ,trust for CMner and City. 'Payments fran such ,accoUnt
by city to CMner and to City in accordance with the terms of Chapter 13.24 shali
be made at such times as are conVenient to the City ,but in no event leSs often,
than annua,lly if the City has'receiverl payment of' any benefit 'charges. Payments
to CMner shall include interest at the rate of five percent (5%) 'Per annum fran
the ~te of deposit on the principal portion of such deposit to which CMner is
entitled to'payment. City shall be entitlerl to payment of its administrative
charges, of five percent (5%) ,of all amollllts depositerl plus all interest incane
on the full amounts depositerl except the five percent (5%) interest payable to
CMner. Therigtit of CMner to payments fran said trjIst,accoimt shail be perscmal
and shall l)ot run with the property of CMner, ,be assignable by (Mrier, or 'survive

SectlonIX. Hold HaImless by CMner
CMner acknowledges and agrees that the benefiting property rray be developed
in phases. CMner agrees that the City, in its sole ;discretion, shall determine
what portion of the entire benefit charge is not reasonably relaEed to the
natUre and extent of the de'iielopnent phase of the benefiting property. If, in
the event of, such a determination by City, City collects less than the full
benefit charge at the time of developnerit, City retains the right to col~ect the
talance of the ,benefit charge upcl,tl later developnent of'the benefiting property.
CMner hereby ,agrees to wai'it€! any claim CMner rray have to '~equire payment of the
entire benefit charge if City' has so exercised its discretion and CMner hereby
agrees to waive any loss or c'L:unages, direct or con~e-quential i resulting frari
the exercise of City,s diE!cretion .resulting fran the failure of the City to
collect all or any part of any benefit charge.
sectionX. RecordatiOn
This Agr~t shall be recorded by the City after full execution hereof
and pranptly following acceptance of: the subjec::f,i.rrq;>rovenentsby the, City,. If
for any reason this Agreanent is notr€icordeq, ,OWner holds city harmless fran
any loss or darrage arising therefran.
Section' XI. v.oidability
In the event that CMner fails or refuses to canpletethe subject i.rrq;>rove-
ments in timely rrarmerto the, satisfaction of the City in its sole discretion,
this Agree;qent shcillbe unilaterally voidable by adoption of a resolution of the
City Council declaring this Agreement null and void for failure of performance
by owner.
