Steven R. Landa and Joan C. 'Landa (hereinafter "Grantor") hereby grants to
the CITY OF POWAY(hereinafter"GRANTEE), its successors, or assigns, the
following describedeasemen:t~cir a right-of-way, in, upon, over, under and
across the l!jnds des,cribed below, to erect,construct, reconstruct, replace,
r:epatr, maintain, and use a pipeline or pipelines for any and all purposes,
together with f.ixturesand appurtenances, a tsuchl ocatlClns and elevations,
upon, along,over and under the right-of-way descrjbed below as GRANTEE may now
or hereafter determine in its sole discretion w.ifilout any additional compen-
satjon therefor, tQgeth~rwlth the right of ingress and egress from the ease_
ment by a pr,actical route or routes in, upon, over:,. or across the land
described below, together wHh the right to use this easement for access to
GRANTEE's rights-of-way sHuated in adjacent lands, without any additional com-
pensation therefor.
The land encompassing this easement is s.ituated in the County of San Diego,
State of Cal ifornia, and is'more particularly dest'ribed as follows, to wit':

GRANTOR, it he,i rs, successors and assigns shan not erect or construct or
permit to be erected orcbnstrlicted any building,structure or improvement or
plant any tree or trees o(planf.any other vege.ta,tion or flora wHhin said
easement without. the. express written appro\(a 1 of the Ci ty of Poway as evidenced
by t_~e"s:ign<lture of the Director of Engineering Services on an ap'proved plan.
GRANTOR, iJ heirs, successors and assigns shall no dig or dri 11 any hole 'or
wells on any portion of the easement.
GRANTEE 'may ,use all gates and fences which, now or later, cross any portion
of the easement. GRANTEE sha nal so be enti tled to trim, cut, or cl ear away
or remove aiiytr'ees, brush, or other vegetation or fl,ora from time to time as
GRANTEE determines in its sole discretion without any' additional compensation.
GRANTOR agrees that no other easement ot"easeJl1ents shall be granted on,
under, or .over this easement without obtaining the prior written consent of
GRANTEE.

obtaining the prior written consent of the GRANTEE.
In the ev,entof any d.ispute involving this Agree,ment, whether or not liti-
gation is commenced, or if any arbitration 'proceed:ing, administrative pro-
ceeding or litigation in law or in equity, including an action for declaratory
relief, is brought to enforce or interpret the provisions or performance of .
this easement., the prevailing party shall be entitled to an award of all attor-
ney'? fees and the, costs 9f the proceedi ng, whi,chshall be determined by the
court or the pres,iding officer having authority to make this determination.
GRANTOR expressly warrants and represents that GRANTO~ has the power to
