EXHIBIT "A" f, .. 1862 ~ "r' EASEMENT IN GROSS LEGAL DESCRIPTION (a) A fifteen (IS) foot wide strip of land bordering the easterly property line wherever possible in accordance with Adopted Trail Standards and Specifications of the City of Poway, with all incidents necessary to install, construct, improve, enjoy, repair and maintain same, so long as used for equestrian trail purposes; commencing at the northeast corner and ending at the southeast corner. (b) Grantee shall indemnify and hold harmless Grantor and its officers, directors, agents and employees from any and all liability, including all damages, claims, causes of action, costs and attorneys' fees which may be incurred by Grantor, arising from Grantee's use of Easement described above. (c) Grantee agrees, at all times at its sole expense, to maintain in effect personal injury liability insurance in an amount no less than Ten Million Five Hundred Thousand Dollars ($10,500,000) covering the Easement and its appurtenances, for injury or death to any number of persons. Such insurance shall specifically insure Grantor and its officers, directors, agents and employees from any and all liability which may be imposed from any use of the Easement by any person whatsoever, and shall be endorsed as to create the same liability on the part of the insurer as though separate policies had been written for Grantee and Grantor. (d) The aforementioned policy of insurance shall be written in form satisfactory to Grantor. Grantee agrees to pay all pre- miums therefor and deliver said policies, or certified copies to Grantor. The insurer shall agree, by endorsement upon the policy, or by independent instrument furnished to Grantor, that it will give Grantor thirty (30) days' written notice by registered mail before the policy shall be altered or cancelled. (e) In the event the Easement is no longer used for equestrian trail purposes or the insurance required is not main- tained in accordance with paragraphs (c) and (dl above, this Easement shall revert back to Grantor as the sole owner thereof. 28506F 042386
