THIS GRANTOF EASEMENT is made this ID~ day of 1\.\"\I,~b:w- ,1981 by
PONDERO'SA HOMES, .INC, (hereinafter called "Ponaerosa")' to the CITY OF
POW A Y (hereinafter calle'd "Poway").

BACKGROUND
WHEREAS Ponderosa is o'h'ner of certain parcels of .land located in the City of
Poway, County of San Diego, State of California;
WHEREAS there currently exist several privatE; open space and equestrian ease-
ments, not currently available for, public use, on tne Ponderosa parcels; .
WHEREAS Poway desires, to see one particular easement located along the
eastern bounaary of. the 'Ponderosa parcels made a public easement so as to be
available for use by'the entire community; and
WHEREAS Ponderosa"is ,willing to grant the currently private easement to Poway
so as to permit access by"the public, '
NOW, THEREFORE, in ~ideration of the foregoing and of the conditions
l1ereinafter exchanged, the parties agree as follows:
'Ponderosa hereby grants to Poway the following described easement for the ,J
purpose oJ an equestrian trail'over, upon, and across Lots 19,20,21,22, 26, ~7, 28, tI
29, 30, 31, 32, 33, 34', "~5, 36" 37, ~lB8, as shown on Map 117892 (hereinafter
referred to as the subject land)~ 38,39,40, and 41
The land encompassing this easement in situated .in the City of Poway, County of'
San,Dieg(), Stateof California, and is more particularly described on the. attached plats
(Exhibit A) which are hereby made a part of this document.
Ponderosa hereby certifies that it is the owner of the land subdivided by this map.
Ponderosa hereby grants to the City of Poway a public easement over, upon, and
across the subject property, to wit:
(1) A perpetual easement for a public equestrian trail over, upon, and across the
subject land and no building, structure or other thing whatsoever shall be
constructed, erected, placed or maintained on the subject land.

(2) The perpetual right, but not the obligation" to enter upon the subject land and
remove 'any buildings, structures or other things whatsoever constructed,
erected, placed or maintained on the subject land, except as necessary for
the construction and 'maintenance of the easement for equestrian trail
purposes, contrary to any term, covenant or condition of this easement and to
do 'any work necessary to eliminate the effects of any excavation or grading
or placement of sanq, soil, rock or gravel or any other material done or
placed on the subjectJand contrary to any term, covenant or condition of this
easement. Ponderosa ,covenants and agrees for itself 'and its successors and
~assigns as follows:
1. Ponderosa, its successors and assigns shall not erect or con=- --
struct, or; permit to be 'erected ,or constructed, any ,builaing, structure or 'improv,e-
ment on, over or under a[1Y portions of the subject land; nor shall Ponderosa, its
successors or assigns, plant any tree or trees or'plant any other vegetation or flora,

2. Ponderosa agrees that no other ease,ment shall be gra[1ted on,

J. Poway may ,in its sole discretio)), erect, maintain or use gates
in aU fences Which pow cross or later cross any Rortion, of the subject, land. Poway
shall also be entitled to trim, cut or clear away ~y trees, brush .or other
vegetation. or flora from time to time as Pow'ay deter,mines in its sole discretion
without, any compensation.
4, Poway agrees' not to partition, assign, joint venture ,or share all
or any portion of the subject land with any other public ,agency or utility inclLJding,
but, not limited to, any agency sURplying water or se\Y1"r services or facilities to the
pui:>lic without pr,ior wrlt'ten:consent of Ponderosa or 'its successors or assigns.
5. Poway'may not increase its use of .the' subject land, beyond the
purpose of the equestr'ian tr'ail, without: prior written consent of Ponderosa or its
successors or assigns.
6. ,Pow,ay agre~~ that it shall not use the subject ,land for any
purpose exc;ept,as open space which shall be left in its', natural state, except those
portions 'of s'ubject propertY, designated as equestrian' trails, without the written
authorization of Pohae'fosa or its:successors or assigns.
It is also understood and agr~~d tl1,at Ponderosa and. ~()Way and their successors or
assigns shall not increa~e ord~cr,~ase or permit to be increased or decreased the
existing ground elevations of the subject land :which exist at the time this
document is executed without obtaining the prior written consent of the other
party.
That the terms, covenants and conditions set forth, herein may be specially
enf9rced or enjoined by proceedings in theSuperJor Court of the State of
California.
The graht' of thiS easement and its acceptance, ,by 'the (Jity of Po way shall not
authorize the public or any members thereoftouse:'or enter upon, all or any portion
of the subject land, ex<:ep~tfor eqpestrian trail purposes, being understood that the
purRose of this easement is, solely to restr ict the, uses to which the subject land
may be put.
Ponderosa expressly warra,nt~ ia,ndrepresents ,that Ponderosa is the owner of the
subject land and has the power to grant this easement in accordance with, its terms,
