EASEMENT, ,AGREEMENT PERMITTING ENCROACHMENTWIJH PERMANENT STRUCTURE
The City of Poway (hereinafter, "CITY") and
R&R Bartners-powaY(hereinaf.ter, "OWNER") agree as follows:
1. Owner is the record owner of that certain real property legally described
in Exhibit "A" attached hereto (hereinafter, the "property") City owns that
certain easement (hereinafter, the "easement") upon and across the property

legally described in Exhibit "B" attached hereto. Owner desires to
construct a permanent structure (hereafter, the "encroachment str,u,cture")
upon and across the easement as described and depicted in Ex'hibit'"C"
attached hereto. City agrees to permit such encroachment only upon City
approv,al of plans therefore, and subject to the condHi,ons o,f this
agreement.
2. Owner agrees:
(a) The encroachment structur,e shall be installed and maintained in 1\ safe
condition ~t the sole cost, risk, and responsibility of Owner and suc~
cessors in. interest.

(b) The Owner shall a'gl"ee to at all times indemnify arid save City free and
harmless from, and pay in full, any and all claims, demands, losses,
dama:g~s orexperise's that the City may sustain or incur in any manner
resultfng from the construction, maintenance, use, state of repair or
presence of the structure installed hereunder, including any loss,
damage or expense arising out of (1) loss of or damage to propert:Y,.
and (2) injury to or death of persons; excepting any loss, damage or
expense and claims for loss, damage or expense resulting exclusively
from the neg.ligent act or acts of the City., its contractors, 'office!,s,
agents or emp;loye'es..
(c) Whatever rights and: ob,l:igations were acqu,ired by City w,ith respect to
the rights-of-way shall l"emain and continue in full force and effect,
and shall in no way be affected by the City's grant of permission to
construct and maintain the encroachment structure.
Cd) If, in the opinion of the City Engineer, it is determined at any time
in the future that the City- owned faci 1 ity cannot be economi cally and
reasonablepflaced, replaced or maintained in the rights-of~way, over
whi~h the owner's structure is placed, the owner agrees to provide an
alternate right-of-way and relocate said facility to a new alignment,
all at theso:le cost a'iid expehsebf Owhe'r.
3. Th'i sAg'reement shall cohsttEute a 'covenantr.unni,ng with the property,.
Owner' slobJiga:t.ions setf-orth herein snall be binding upon Owner, its
heirs, executors, successors in interest, and assi~ns.
