GRANT OF EASEMENT
Water and/or Sewer Pipelines and Appurtenances
CF Poway, Ltd. , (hereinafter
"GRANTOR"), hereby grants to CITY OF POWAY, (he,reinafter
"GRANTEE"), its successors; or assigns, the following described
easement for a right of way 20 feet in width, in, upon, over,
under, and across the laljds described below, to erect, constr,uct,
reconstruct, replace, repatr, maintain, and use a pipeline or pipe-
l.ines for any and all p,urposes, together with such fixtures and .
appurtenances, at 'such locations and eleva'tions, upon, along, over
and under the right of way described below as GRANTEE may no.w or
hereafter determine in its sole discretion without any additional
compensation therefor, together with the right of ingress and
egress from the easement bya practical route or routes in, upon,
over or across the .land described below, together with the right to
use this easement for access to GRANTEE's right of way situated in
adjacent lands, without any additional compensation therefor.
The land encompassing tl1is easement is situated in the County of
San Diego" State of California, and is more par,ticularly described
as follows, to wit:
Lot 4 of Map 1174~ in the City of Poway, County of San Diego,
State of California, recorded on March 9, 1987 in the Office
of the County .Recorder ,County of San Diego.
Said easement of right of way in the aforesaid lands is particularly
described as follows:

or wells on any portion oJ the easement.
'GRANTEE may use all gates 'and fences which,. now ,or later, cros.s any
portion of the easement.. 'GRANTEE shall also be entitled to trim,
cut, or clear away or removE! any trees, brush, or other vegetation
or flora from tlme to time as GRANTEE determines in its sole
'discretion without any ~dditional compensation.
GRANTOR agrees that no' other easement or easements shall be granted,
on, under, or over tlj.:bs easement without obtainirtg the prior wri t-
ten consent of GRANTEE.
GRANTEE may at any time increase its use' of the easement, change
the location of pipeline,s or other facilities within the boundaries
of the easement rigl:1t of way, or modify the size of existing pipe-
lines or other improvements as it may determine .inits sole dis'cre-
tion from .time to tlme without paying any additional compensation
to GRANTOR or GRANTOR'.s he'ir.s, successors, or, assigns, provided
GRANTEE does not expand i.ts use of the easement beyond the easement
boundaries described above.
It is also understood and agreed by the parties that the GRANTOR
and the GRANTOR's heirs" ,successors, or assigns" shall not increase
or decrease or permit to be increased or decreased :the exi,-;ting
ground e.levations of the above described ea.sement which exists at
t'he time this'document is, e'xecuted without obta'ining the prior
written consent of the GRANTEE.
In the event of any dispute involving this Agreement, whether or
not litigation is cOl11T(lenced, or if any aibitrationproceeding,
administrative proceeciing or litigation in law or. in equity,
including an action for deciaratory relief, is brought to enforce
or interpret the provisiCm's or performance' of, this easement, the
prevailing par,ty sha.ll be enti.tled to an 'award of all attorney 's
fees and the costs .of ,th'e, proceeding, which shall be determined by
the. c6,ur,t or the presiding' officer having authority to make this
determination.
