GRANT OF EASEMENT
(water and/or Sewer Lines and Appurtenances)
LINCOLN B~~INESS CENTER POWAY, a California general
partnership (hereinat'ter "GRANTOR"), hereby grants to the City of
Poway (hereinafter "GRANTEE"), its successors or assigns, the
following described nonexclusive easement for a right-of-way
Twentv feet in width, in, upon, over, under and across the lands
described below, to erect, construct, reconstruct, replace,
repair, maintain and use a pipeline or pipelines for water and/or
sewer ~ine purposes, together with such fixtures and
appurtenances, at such locations under the right-of-way described
below as GRANTEE may now or hereafter determine in its sole
discretion without any additional compensation therefor, together
with the right of ingress and egress'from the easement in, upon,
over, or across the land described below.
Said easement of right-of-way ("Easement Area") is situated
in the City of Poway, County of San Diego, State of California
and is particularly described as fol1ows:
Refer to Exhibit 'A' attached hereto
and made a Dart hereof.
1. GRANTEE shall be entitled to partition, assign, joint
vent9re or share all or any portion of this easement with any
otherpublic agency or public utility company including, but not
limited to, any public agency supplying water or sewer services
or faciiities to the public as GRANTEE may determine in its sole
discretion without paying any additional compensation to GRANTOR
or GRANTOR's heirs, successors or assigns therefor.
2. GRANTEE may at any time change the location of
pipelines or other facilities within the boundaries of the
Easement Area, or modify the size of existing pipelines or other
improvements as it may determine in its sole discretion from time

to time without paying any additional compensation to GRANTOR or
GRANTOR's heirs, successors or assigns, provided, however, that,
notwithstanding anything in the foregoing to the contrary,
GRANTEE shall not have the right to expand its use of the
easement beyond the Easement Area.
3. GRANTOR, its, successors and assigns shall not erect or
construct or permit to be erected or constructed any building,
structure or improvement or plant any tree or trees or plant any
other vegetation ox flora within said easement without the
expr~ss written approval of the City of poway as evidenced by the
,signature of the Director of Public Services on an approved pIan.
GHAt'iTOR', its heirs, successors and assigns shall not dig or drill
any hole or wells on any portion of the easement.
4. It is also understood and agreed by the parties that
the GRANTOR and the GRANTOR's hei rs, suc,cessors, or ass igns,
shall not increase or decrease or permit to be increased or
decreased the existing ground elevations of the above described
easement which exists at the time th~s document is executed
without obtaining the prior written consent of the GRANTEE.
5. GRANTOR may relocate the easement and the Easement Area
as many times as GRANTOR deems desirable, subject to the terms of
this paragraph. In order for GRANTOR to exercise this right of
relocation, GRANTOR must deliver written notice to GRANTEE
stating such relocation intention and within ninety (90)
consecutive calendar days after GRANTEE's receipt of such notice
to relocate, GRANTEE shall relocate the easement and the Easement
Area and execute and deliver to GRANTOR a ful1 release of the
easement and right of way created hereby in recordable form, all
at the sole cost and expense of GRANTOR and at no expense to
GRANTEE; provided, however, said obligation of GRANTEE to
relocate the easement and the Easement Area at the expense of
GRANTOR shall be condi tioned upon the furnishing by GRANTOR to
GRANTEE of a good and sufficient permanent grant of easement in a
feasible location, which grant of easement shall be in a form
identical to this Grant of Easement and the physical relocation
and reconstruction qf all water and sewer pipelines by GRANTOR,
at GRANTOR's sole cost and expense, and subject to GRANTEE's
inspection and approval.
6. Once the pipeline improvements are accepted by GRANTEE,
GRANTEE shall promptly repair and/or replace in a good and
workmanlike manner at its own expense any and all damage to any
such improvements within the Easement Area which is caused by
GRANTEE's use, construction, maintenance, restoration, repair,
cleaning or replacement of the improvements within the Easement
Area.
7. In the event of any dispute involving this Agreement,
whether or not litigation is commenced, or if any arbitration
proceeding, administrative proceeding or litigation in law or in
equity, including an action for declaratory relief, is brought to

enforce or interpret the provisions or performance of this
easement, the prevailing party shall be entitled to an award of
all attorneys' fees and the cost of the proceeding, which shall
be determined by the court or the presiding officer having
authority to make this determination.
8. GRANTEE, in consideration of the easement rights
granted herein, hereby covenants and agrees that its utilization
of the easement rights granted hereunder will not unreasonably
interfere with GRANTOR's and GRANTOR's tenants, employees, guests
and/or invitees' use and enjoyment of that certain property which
is, 'owned by GRANTOR and which is adjacent and contiguous to the
Easement Area.
9. Except as otherwise provided in this Grant of Easement,
GRANTEE, in consideration of the easement rights granted herein,
hereby covenants and agrees to indemnify, protect, hold harmless
and defend GRANTOR and GRANTOR's successors and assigns from any
and all liability, loss, cost, expense, damage, claim and/or
demands incurred by GRANTOR or GRANTOR's successors or assigns
and resulting in any way from the exercise by GRANTEE or
GRANTEE's successors or assigns of GRANTEE's (or its successors
or assigns) rights as holder of the easement and the concomitant
rights described herein.
10. GRANTOR expressly warrants and .represents that GRANTOR
has the power to grant this easement in accordance with its
terms.
11. The provisions, terms, covenants and agreements
contained herein shall be binding upon and inure to the benefit
of the successors and assigns of GRANTOR and GRANTEE.
