poway (here~nafter "GRANTEE"), i,ts successors or assigns, the,
followingdescrib~d nonexclusive easement for a right-of'-way
Five feet in width,' in, upon, over; under and across the l'ands
described below,. .t;0 erect, cC!nstruct, reconst'ruct, replace,
repair, maintain and use a, pipeline or pipelines for water and/or
sewer line pu'rpos,es, tog.ether with, suc.h fixtures and
appurtenances, at such :I,oca.tions under the right-of-way described
below as GRANTEE may now or hereafter determine in its sole
discretion wi,thout any additional compensation therefor , together
with the right of ingress and egress from the easement in, upon,
over, or across the land described below.
Said easement. of right-of-way ("Easement Area") is situated
in the City of poway,' County of San Diego, State of California
and is par~iculai:ly described as follows:

and made a part hereof.
1. GRANTEE shall be en,titled to partition, assign, joint
venture or share .11 or any portion of this easement with any
other public agency or public' utility company including, but not
limited to, any public agency supplying water or sewer services
or facilities to the public as' GRANTEE may determine in its sole
di~cretion without paying any additional compensation to GRANTOR
or' GRANTOR's hei rs, successors or assigns therefor.
2. GRANTEE may at any tim~ change the location of
pipelines or other facilities within the boundaries of the
Easement Area, or modify the size of existing pipelines'or other
improvements as it may determine in its sole discretion from time

3. GRAN'l'OflJ i,ts., successors and assigns shall not er,ect or
construct or permit to be erected or const'ructed any building,
structure or improvement or plant any tree. or 'trees or plant any,
other vegetation o'r flora wi thin said easement wi.t'hout the
express written' approval of the City of PO,way as evidenced by the
signature of the Director of PublicSer,v,ices .on an approved pIan.,
GRANTOR, itshei,rs" successors and assighs shall not dIg or dril1
any hole or' weIrs on any portion of the 'easement.
4. . I,t is; also ,understood and agr.eed by the parties that
'the GRAN'TOR and the GRANTOR"s heirs, successors, or assigns,
shall not increase or decrease or per:m~t to be increased or
decreased the, existin,gground elevatj.ol'lsof the above descrjibeo
easement which exists at the t,im'e t'h'is document is executed
wi'.thout obtaihing the prior written consent of 'the GRANTEE.

GRANTEE of a good ahdsufficient permanent grant of easement in a
feasible locat.ion, which grant of easement shall be in a form
idel1tical to 'this Grant of Easement and the physical relo.cation
and reconst:ruct~on 'of all water and sewer pipelines by GRANTOR,
at GRANTOR's sole CO&t and expense, and .subject to GRANTEE's
irispeci:ionand approva'l. ' .
6. O,nce, the pipeline impr'oVements ilreaccepted by GRANTEE,
GRA,!IITEE\ shall promptly repair and/or replace in a good and
wor,~maIllike man-her ,at its own expense ,any and all, damage to any
such improvements within 'the Easement Area whi,ch is caused by
GRAfolTEE,' s use, cons,t rtiction, mainte"nance, restoration, repair,
cleaning or reJ?lacement of the improvements within the Easement
Area. '
7. 'II1 the .event of any dispute involving this Agreement,
whether, qr not, litfgation is commenced, or if any arbitration
J?roc,eeding, adminiscrative proceeding, or ,litigation in la.w or in
equity, including an action for declaratory relief, is brought to

Easement Area.
