(hereinafter "GRANTOR") hereby graritstothe CITY OF POWAY (hereinafter "GRANTEE"). its successors, or
assigns, the following described easement for a right-of-way 20,00 feet in width, in,upon, over, under and
across the lands described beloW, to erect, construct; reconstrUct, replace, repair, maintain, and use a
pipeline or pipelines for any and allpurp6ses, together with such fixtures and appurtenances, including but
not limited to, facilities for powertransinission and communication purposes, at such locations and

situated in adjacent lands, withoutariy'additional compensation therefor.

improvements as it may determine, in its sole discretion from time to .time witllout paying any additional
compensation to GRANTOR or GRANTOR:S Ileirs,:successors, or assigns, provided GRANTEE does not expand
its use of tile easement beyond tile easement boundaries described above,
It is also understood and agreed by the parties tllat tile GRANTOR and tile GRANTOR'S Ileirs, successors, or
assigns, sllall not increase or decrease or permit to be increased or decreased tile existing ground
elevations of the above described easement wllicll exists at tile time this document is executed without
obtaining tile prior written consent of tile GRANTEE.
In tile event of any dispute involving tllis Agreement, wlletller or not litigation is commenced, or if any
arbitration proceeding, administrative proceeding or litigation in law or in equity, including an action for
declaratory ,relief, is brouglltto enforce, or interpret tile provisions or performance of tllis easement, tile
prevailing pa~ sllall be entitled to ;anaward of all attorney's fees and lI1e costs of the proceeding, which
sllallbe determined by the court or tile presiding officer having authority to make this'determination,
