WITNESSETH:
WHEREAS, the POMERADO COU}~Y WATER DISTRICT is the owner in
"possession of certain easements within portions of the property described
in Exhibit "A" attached hereto and incorporated herein granted by POWAY
ESPOLA CO., a partnership, and MIKEL DEVELOPMENT CO., a California corpora-

wHEREAS, thePOWAY MUNICIPAL WATER DISTRICT is the owner in
possession of an easement within a portlon of the property described in
Exhi bit "A", attached 'hereto and granted byPOWAY ESPOL~ CO., a partner- --
ship, for utility purposes, recorded May 19, 1972, .at File/Page No. 127184, 1
Book 1972 of Official Records of the County of San Diego; and
WHEREAS, the SAN DIEGO GAS &ELECTRrC COMPANY is the owner. in
possession of certain easements within portions of the property described
in Exhibit "A", attached hereto and granted by POWAY ESPOLA CO., a partner-
ship, and MIKEL DEVELOPMENT CO., a Caltfornra. corporation, for utility
purposes, recqrded May II, 1971 at File/Page No. 119036, and May 11, 1972,
at File/Page No. 119037, respectively, in Book 1972 of Official Records l;. .
of the County of San Diego.; and
WHEREAS, the Districts and SAN DIEGO GAS & ELECTRIC COMPANY have
determined that the said. easements for utility purposes Can be jointly
used by said Districts and SAN DIEGO GAS & ELECTRIC COMPANY, and they

NOW, THEREFORE, POMERADO COUN1Y ,WATER DISTRICT, POWAY 11UNICIPAL
WfiTEJ! ,DISTRICT and SAN DIEGO GAS & ELECTRICC.OMPANY HEREBY MUTUALLY AGREE
MJ: FOLLOWS:
I. All parties to this agreement hereby consent to the
~ installation, construction, operation, maintenance, repair,
replac,emen,t" reconstruction and use, by ,the other parties
of their 'respective facilities in, Along, over, under and
acros" the area of .common use described in Exhibit "A"
and' .graYlts ,each the privilege of ingress to and from
their respEicti:ve faciIi ties for said purposes.
2. POWAY MUNICIPAL WATER DISTRICT acknoWledges POMERADO
COUNTY WATER DISTRICT's prior easement nnd ti Ue ih said
area of .coIDmon use over the titlEi,6f POWAY MUNICIPAL
WATER DISTRICT.
3. ,POWAY MUNICIPAL WATER DISTRICT and 'POMERADO COUNTY 1{ATER
DISTRICT acknowledges the SAN DIEGO .GAS & E1ECTRIC COl~PAiJy
as having'prior easement and ti,tle in said area of common
use Over the title of PO~ffiRADO COUNTY WATER DISTRICT and
POWAY ~IDNICIPAL WATER DISTRICT in that order.
4. Each party proposing surface or subsurfa"e, installation in
the ar~~ ~f ~ommon use, as provided for herein, shall
furnish to the other par.ties f.ulland complete plans' 'and
specifications for such propo.sed in."tallation. The parties
receiving such plans and specificat~ons shall, within thirty
(30) days', indicate, 'agreement with the proposed installation
orpfopose an alteration in, the plans and 'specifications of
'the. installation when such propOsed installation, .woula.inter~
fete with any plEen or contemplated installation. 'of'that
party. Agreemehtto the proposed installation shall not be
unreasonably withheld. In the event there is a conflict
