as "Licensor ", 'and the POWAY UNIFIED
fter referred to as "Licensee ".
WHEREAS,, Licensor is the owner- of certain real
property. commonly known as Boulder Mountain Radio Facility,
in the City of;Poway, County of San Diego„ more particulary
described as fol; lows: See Exhibit "A "" attached hereto and
incorporated herein by.reference as if fully set forth.
WHEREAS.,, Licensee desired to obtain permission to
perform certain act`s upon Licensor's property.
NOW, THEREFORE, it is agreed as follows:
1. Licensor grants to Licensee a,license to place
and utilize a radio transmitter and ''antenha on Licensor's
real property site at,Boulder Mountain at times and location
within the discretion 'of Licensor.
2. Licensee agrees to accept responsibility for
damage to any equipment owned and operated by Licensor at
Boulder Mountain Radio Facility which may be damaged as a
resul,t,of Licensee "s use of this facility
3. Licensee agrees to provide keys to Licenser's
real' property to. authorized personnel, only and to supply to
Licensor a list.of, those authorized persons.
4. Licensee agrees to accept responsibility for
injuries to Licensee's personnel .having access to this
facility. Licensee will hold Licensor harmless in the event
of such injur "y. In consideration of the grant of ,license to
Licensor,; Licensee agrees to indemnify and hold harmless the
City of . Poway 'and 'its. Council; officers„ and employees,
against any loss they may suffer including, attorneys fees
and costs, on account of any claim: or cause of action
arising out' of the' use, maintenance, or operation of the
license herein.
5. This license is personal to the Licensee. It
is nonassignalbe, and any attempt to assign this license
termi "hates it;
-6r. This Agreement is terminable by Licensor upon
fifteen, (15) days notice to Licensee.
