A RESOLUTION OF THE POWAY HOUSING AUTHORITY,
NAMING THE AUTHORITY, DESIGNATING THE INITIAL
PERMANENT CHAIRMAN, VICE CHAIRMAN AND
OFFICERS OF THE HOUSING AUTHORITY,
ESTABLISHING THE COMMISSIONERS' TERMS OF
OFFICE AND SUCCESSION, ADOPTING RULES OF
PROCEDURE, PERSONNEL RULES AND REGULATIONS
AND A CONFLICT OF INTEREST CODE AND PROVIDING
FOR THE TIME AND PLACE TO HOLD REGULAR
MEETINGS OF THE HOUSING AUTHORITY
WHEREAS, the City Council adopted Resolution No. 11 -009 on March 1, 2011
declaring that there is a need for a Housing Authority to function in the City and
declaring that the City Council Members are the Commissioners of the Housing
Authority, and appointing the Mayor of the City of Poway to serve as the Interim
Chairman of the Housing Authority until the initial permanent Chairman is selected, all
pursuant to the Housing Authority Law, commencing with Health and Safety Code
Section 34200 et seq. (the "Law "); and
WHEREAS, Section 34278 of the Law provides that the Housing Authority shall
select from among its Commissioners a Vice Chairman; and
WHEREAS, Section 34276 of the Law establishes the requirements for a quorum
of the Housing Authority for the purpose of conducting its business and exercising its
powers; and
WHEREAS, Section 34278 of the Law provides that the Housing Authority may
employ such officers, agents, technical experts, and employees as the Housing
Authority requires, and to assure proper operations, the newly formed Authority must
also formally adopt a name; designate the permanent Chairman, Vice Chairman, and
officers of the Authority, establish the Commissioners' terms of office and succession;
adopt rules of procedure for meetings; and
WHEREAS, Section 34278 of the Law further provides that the Housing Authority
shall adopt personnel rules and regulations and a conflict of interest code applicable to
Housing Authority officers and employees, and
WHEREAS, Section 34283 of the Law provides that the Housing Authority
Commissioners shall provide for the time and place to hold their regular meetings.
NOW, THEREFORE, the Poway Housing Authority does hereby resolve as
follows:
Section 1. Recitals. The foregoing recitals are true and correct.

Section 2. Name. The Housing Authority shall be known as "The Poway
Housing Authority."
Section 3 Chairman and Vice Chairman. The Interim Chairman of the Poway
Housing Authority shall serve as the initial permanent Chairman and the Poway
Housing Authority Commissioner holding the office of the Deputy Mayor of the City of
Poway shall serve as the initial Vice Chairman of the Poway Housing Authority, until a
successor Chairman and Vice Chairman are selected by the Commissioners.
Section 4. Term of Office and Succession. The term of office and succession
of each Commissioner of the Poway Housing Authority shall be concurrent with and
identical to the term and succession of such Commissioner's City Council seat.
Section 5. Rules of Procedure Consistent with Section 34276 of the Law, the
Commissioners of the Poway Housing Authority hereby adopt by reference the rules of
procedure set forth in Chapter 2 18 of Article 2 of the Poway Municipal Code, as that
Article may be amended, as the rules of procedure applying to the Poway Housing
Authority.
Section 6 Officers of the Poway Housing Authority. Pursuant to Section
34278 of the Health & Safety Code, the Poway Housing Authority, subject to the
concurrence of the Poway City Council, designates the following City officials to serve
as Poway Housing Authority officers on an ex- officio basis

Section 7. Personnel Rules and Regulations Pursuant to Section 34278 of
the Health & Safety Code, the Commissioners of the Poway Housing Authority hereby
adopt by reference the personnel system set forth in Chapter 2.16 of Article 2 of the
Poway Municipal Code, as that Article may be amended, as the personnel rules and
regulations applying to all employees of the Poway Housing Authority.
Section 8. Conflicts of Interest Code Pursuant to Section 34278 of the Health
& Safety Code, the Commissioners of the Poway Housing Authority hereby adopt by
reference the Conflict of Interest Code set forth in City of Poway Resolution 10 -064, as
may be amended by Council resolution from time to time.

Section 9. Meetings. A regular meeting of the Poway Housing Authority shall
be held every first and third Tuesday each month at 7:00 p.m. (or at such later hour as
the business of the City Council may permit) at the Poway City Council Chambers
13325 Civic Center Drive, Poway, California, or at such other place as may be
designated by the Poway Housing Authority by Resolution. The Authority, consistent
with California law, may conduct special meetings at any time, subject to the timely
posting of its agendas and, as may be required by a particular matter, providing
appropriate notice.
PASSED, ADOPTED AND APPROVED by the Poway Housing Authority at a
special meeting this 11th day of March, 2011.
